As part of the Investment Product and Fund Strategies Group (IPFS), the US & Alts Fund Management Team is responsible for Wellington Management’s US pooled fund businesses, including alternative funds sponsored by Wellington Alternative Investments and commingled trust vehicles sponsored by Wellington Trust Company, NA. As of September 30, 2021, the US & Alts Fund Management Team had oversight responsibility for over 250 commingled pools, with assets under management of US$90 billion from more than 1,500 clients.
The Fund Governance and Oversight Manager for the US & Alts Fund Management team is responsible for governance, business management and oversight of funds sponsored by Wellington Alternative Investments and Wellington Funds US, which offer private (unregistered) funds to investors globally. Reporting to the Director of US Funds with matrix reporting to IPFS’s Director of Risk and Fund Governance, the Fund Governance and Oversight Manager is responsible for overseeing and coordinating a broad range of governance matters with respect to the funds, ensuring that the fund sponsors maintain the necessary policies, procedures, control frameworks and oversight of delegated responsibilities to satisfy legal, regulatory, and fiduciary requirements.
The Fund Governance and Oversight manager will be responsible for identifying and leading or appropriately delegating responsibility for cross functional projects and initiatives, ensuring that client interests are met. As part of this role, the person will partner closely with senior management in IPFS and other functions to assist in the oversight of services performed by external service providers, including the fund transfer agent, distributors, and functions performed internally including fund marketing and selling, operational functions, and investment management functions.
Areas of responsibility will include but are not limited to:
- Researching, developing and implementing policies, procedures, and control frameworks involved in the governance of the WAI and WFUS fund lineups.
- Identifying, developing, implementing, and assigning projects to support the legal and regulatory requirements that apply to the WAI and WFUS fund lineups.
- Support of the US & Alt Fund Management team’s key areas of focus and annual priorities.
- Identifying priorities and allocating resources to align with governance and oversight responsibilities of the team.
- Managing and assessing the performance of direct reports.
- Coaching and guiding direct reports and other stakeholders to improve the execution of governance efforts and the success of the team’s key focus areas.
- Thought partnership with other functions that support the fund business to develop and implement procedures to meet regulatory, compliance, and fiduciary requirements.
- Oversight of delegated services.
- Operationalizing functional strategy across teams and stakeholders.
- Oversight of compliance with key regulatory requirements, including those implemented by the SEC, NFA, CIMA, FINRA, DOL, and global regulators for funds that are marketed and sold globally.
- Create and implement best practices, and function as a “go to” resource to members of the firm on private fund matters – guiding them to the people and information they need to do their jobs effectively.
- Represent US & Alts Fund Management broadly on firm-wide initiatives and at cross-functional meetings.
- Carry out many of the behind the scenes responsibilities that ensure the smooth daily operation of the funds business.
This is a complex and detailed role, which requires a deep understanding of the funds business and regulatory compliance, a global mindset, intellectual curiosity, and advanced analytical skills including the ability to frame issues, identify important points, and draw conclusions. This position also requires strong leadership and communication skills, interpersonal flexibility and a pragmatic, problem-solving approach given that the role necessitates collaboration with a broad group of global colleagues and external parties including clients, service providers, the board of directors and regulators.
The ideal candidate will also possess the following qualifications:
- Deep knowledge of the investment industry and various fund structures, particularly private/unregistered funds and the relevant legal and regulatory environment in which they operate.
- Strong interpersonal and leadership skills are critical to resolving issues in a cross-functional environment.
- Strong verbal and written communication skills and the ability to analyze and distill complex matters.
- 10 years of relevant professional and leadership experience, ideally in a fund governance/oversight role.
- Superior project management and organizational skills with results orientation – the ability to manage, prioritize, and complete multiple projects simultaneously.
- Comfort with ambiguity and ability to navigate stressful situations with poise; focused on being a calming presence, active listener, and pragmatic problem solver.
- A team player and self-starter who is comfortable working in a dynamic environment with competing priorities.
- Credibility to engage productively with senior leaders, including ability to constructively challenge status quo and solve problems.
- Interest in enhancing investment knowledge across all asset classes, and comfort in learning new technologies and processes.
