This growing firm in Houston, TX (Galleria Area) is looking to add an experienced Transactional Attorney to their team. This particular role will require a depth of knowledge in Accounting/Finance to handle complex commercial transactions for their business clients. Experience with forensic analysis with complex transactions as it relates to accounting and financial statements is valued.
Job Description
The firm is seeking a Corporate Transactional Attorney with 3-4 years of relevant experience to provide legal support and guidance on a wide range of corporate transactions and matters. The ideal candidate will have a strong background in mergers and acquisitions, private placements of securities, entity formation and structuring, both corporate, LLC and partnerships, joint ventures, general contract negotiations and general corporate governance and advice. Other specialties unique to the candidate are also welcome.
- Provide legal counsel and strategic advice on a variety of corporate transactions, including mergers and acquisitions, private placements, joint ventures, and strategic alliances.
- Draft, review, and negotiate a wide range of complex commercial agreements, including letters of intent, asset purchase agreements, stock purchase agreements, LLC agreements, partnership agreements, shareholder agreements, NDAs and commercial contracts.
- Conduct due diligence investigations and risk assessments for corporate transactions, identifying potential legal issues and proposing effective solutions to mitigate risks.
- Collaborate with internal stakeholders, including senior management, finance, operations, and human resources, to ensure alignment of legal strategies with business objectives.
- Advise on corporate governance matters, including board meetings, corporate policies, compliance with regulatory requirements, and corporate filings.
- Keep abreast of relevant laws, regulations, and industry trends affecting client’s business operations, and provide proactive legal guidance to mitigate potential risks and liabilities.
- Manage outside counsel and legal vendors as necessary, ensuring cost-effective and timely delivery of legal services.
Qualifications
- Juris Doctor (JD) degree from an accredited law school.
- Active license to practice law in the state of Texas, in good standing.
- Three to four years of experience practicing corporate law in a law firm environment, with a focus on complex commercial transactions.
- Strong understanding of corporate governance principles and best practices.
- Excellent drafting, negotiation, and communication skills.
- Proven ability to work both as a team member and independently, prioritize tasks, and manage multiple projects simultaneously.
- Strong analytical and critical thinking skills, with attention to detail.
- Demonstrated ability to build and maintain effective working relationships with internal and external stakeholders.
Preferred Qualifications
- Experience advising clients in a variety of industries, including energy, manufacturing, medical and technology start-ups, and private equity investors and sponsors, to name a few.
- Experience with or a proclivity for participating in practice development activities.
