We are seeking a highly skilled and experienced Supply Chain Attorney to join our legal team. The ideal candidate will provide legal support and guidance on all aspects of supply chain management and transactional operations pertaining to procurement activities, construction subcontracts, technical services and IT operation and related software licensing. This role requires a deep understanding of supply chain operations and the ability to navigate complex legal issues to ensure the company's supply chain functions efficiently and within the applicable legal parameters.Key Responsibilities
- Review, draft, and negotiate on supply chain contracts, including agreements with suppliers, vendors, subcontractors, service contractors, consultants and partners.
- Review, draft, and negotiate a variety of commercial contracts, including software agreements, licensing contracts, supply agreements, SaaS, subscription, and technical service-level agreements and maintenance contracts.
- Advise business units on legal and commercial risks related to all transactional activities, including flowdowns, software and IT contracts, ensuring compliance with applicable laws and regulations.
- Provide clear legal guidance on the terms and conditions of contracts, including intellectual property rights, data protection, confidentiality, liability, and dispute resolution.
- Ensure compliance with all relevant laws and regulations, including trade compliance, import/export controls, environmental regulations, labor laws and safety requirements.
- Advise on risk management strategies and develop policies to mitigate legal risks in the supply chain, with onsite subcontractors, and IT product and service providers.
- Work closely and collaborate with internal stakeholders and cross-functional teams (e.g., Procurement, Subcontract Management, IT, Finance, Risk Management and Operations) to ensure legal considerations are integrated into supply chain processes.
- Proactively manage disputes related to supply chain issues, including breach of contract, defects and warranty claims, and regulatory compliance.
- Stay updated on legal developments and industry trends that may impact the supply chain or labor issues legal developments in the software, technology, and IT sectors to effectively advise the organization.
- Conduct training sessions for company employees on legal aspects of supply chain management.
- Collaborate with external legal counsel as needed to address complex legal matters.
Skills:Preferred Qualifications
- Juris Doctor (JD) degree from an accredited law school.
- Active license to practice law in Kansas or other relevant jurisdiction.
- Minimum of 1-3 years of experience in supply chain, subcontracts, construction and IT contracts.
- Strong knowledge of supply chain operations and legal issues related to procurement, logistics, flow-down processes and distribution.
- Familiarity with international contract negotiations, including data protection laws (e.g., GDPR).
- Knowledge of cybersecurity, cloud computing, and emerging technologies.
- Familiarity with international trade laws and regulations.
- Certification in supply chain management (e.g., CSCP, CPSM).
- Strong knowledge of subcontracts and legal issues related to construction.
- Strong knowledge of technology law, intellectual property, data protection, and related legal principles.
- Experience with SaaS agreements, software licensing and EULAs, cloud services agreements, and IT outsourcing contracts.
- Ability to analyze complex legal documents and communicate risks and legal issues in a clear and concise manner
- Excellent negotiation, drafting, and communication skills.
- Ability to work independently and as part of a collaborative team in a fast-paced environment.
- Strong analytical and problem-solving skills.
