Role : Attorney, Credit Transactions (Vice President)
Firm : Specialty Finance, focused on structured credit and direct lending
Location : 3-4 days in Midtown, NYC
Description :
- Ensure credit documentation reflect business agreements
- Identify and resolve business and legal issues between term sheets and closings
- Draft and negotiate term sheets and letters of intent for credit transactions
- Oversee and conduct due diligence on borrowers
- Direct and supervise external counsel in drafting transaction documentation and advise on legal aspects of transaction structures
- Review and negotiate transaction documents for a variety of credit agreements, including asset-based warehouse credit facilities, term loans, forward flow receivables purchase facilities, and other debt financings
- Drive credit transactions from term sheet to closing
- Assist in the development and maintenance of standard legal documents, policies, and processes for credit transactions
- Work on renewals, amendments, restructurings, and other modifications to existing credit facilities as required
- Stay current with relevant laws, regulations, and trends affecting the specialty finance industry
