Assistant General Counsel – Pharmacy Operations

The Assistant General Counsel is responsible for providing legal counsel and guidance to West Virginia United Health System, its hospital members including but not limited to, West Virginia University Hospitals, and the clinical practice plans of West Virginia University (collectively, the Organizations), specifically in the areas of pharmacy operations, pharmacy business operations, compliance and state and federal pharmacy law. The Assistant General Counsel is responsible for the day-to-day advice and counsel in drafting, negotiating, and reviewing a wide range of agreements in connection with the Organizations’ supply chain, contract pharmacies, laboratory services, vendors, and other contractual arrangements associated with the Organizations, as assigned. The Assistant General Counsel is also responsible for other day-to-day duties as assigned by the Associate General Counsel (AGC) and/or the Assistant Vice President and Senior Corporate Counsel (AVP).



MINIMUM QUALIFICATIONS:

EDUCATION, CERTIFICATION, AND/OR LICENSURE:

1. Juris Doctor.

2. West Virginia Bar membership or eligibility.


EXPERIENCE:

1. Three (3) years of experience in a law firm or in-house legal department in the areas of corporate, contract, health care, and regulatory law required, with a preference for experience in the following areas: (i) pharmaceutical law, (ii) fraud, waste and abuse laws, and/or (iii) 340B program.


CORE DUTIES AND RESPONSIBILITIES: The statements described here are intended to describe the general nature of work being performed by people assigned to this position. 1. Prepares, reviews, and assists with negotiating contractual arrangements, including but not limited to contract pharmacy agreements, vendor, and other similar agreements.

2. Prepares, reviews, and assists with negotiating pharmacy, lab and related agreements, including but not limited to purchase and sale, product purchase, consignment, rebate, consulting, and other miscellaneous agreements.

3. Provides regular legal guidance and advice to the Organization’s management team on a wide variety of legal matters related to pharmacy operations.

4. Provides day-to-day advice to management and personnel regarding contracts and regulatory obligations for the pharmacy operations, including the 340B program.

5. Is knowledgeable of legal trends and standards which regulate health care facilities and patient care and works to ensure compliance with these standards.

6. Provides advice regarding compliance with Medicare and Medicaid fraud and abuse, Stark, and tax exemption.

7. Develops and provides education and training programs to the Organizations’ pharmacy group on key legal topics.

8. Develops policies and procedures for the agreement submission and review process and drafts template agreements and updates for the pharmacy operations.

9. Responds in a timely manner to requests for advice or information.

10. Prepares and reviews contracts and/or agreements between the Organizations and outside agencies or organizations.

11. Participates in meeting the goals and objectives of the department to ensure that the department contributes to the attainment of such organizations’ goals and objectives.

12. Promotes and contributes positively to the teamwork of the department by volunteering to assist co-workers, contributing ideas and problem solving with coworkers.

13. Participates in planning and implementing change and maintaining and improving productivity through attendance and participation in staff meetings, task forces, projects, and discussions.

14. Diligently and in a responsible and timely manner pursues and addresses legal needs of such organizations as they arise.

6. Knowledge of litigation process and procedures.

7. Knowledge of the general operations of corporations, limited liability companies, and joint ventures.

8. Knowledge of academic medical center operations preferred.

9. Ability to communicate and interact with administration, department heads, medical staff and other hospital personnel.
