Position Summary
The Commercial Contracts Counsel will review, draft, and negotiate a high volume of customer agreements, ensuring alignment with company policies and risk tolerance. This role will partner with Yes Energy's commercial teams, including sales, marketing, product, and professional services teams, to facilitate smooth contract execution while protecting the company's legal and financial interests. The ideal candidate will have a strong background in contract law, SaaS agreements, and commercial transactions.

Primary Responsibilities
- Review, draft, and negotiate SaaS sales contracts, including MSAs, subscription agreements, order forms, data protection agreements, partner and integration agreements, requests for proposals, and other agreements.
- Advise the sales team on contract terms, risk mitigation strategies, and deal structuring.
- Develop a contracting strategy to ensure alignment with Yes Energy's business goals, policies, and risk tolerance.
- Ensure compliance with applicable laws, company policies, and industry regulations, including data privacy laws (e.g., GDPR, CCPA).
- Collaborate with cross-functional teams to restructure Yes Energy's contracting process to streamline workflows and approvals.
- Identify and mitigate legal risks related to revenue recognition, liability, indemnification, and service-level commitments.
- Develop and maintain contract templates and playbooks to enhance efficiency and standardization.
- Support dispute resolution efforts related to customer contracts when necessary.
- Stay up to date on evolving laws and industry best practices affecting SaaS contract negotiations.
Minimum Qualifications:
- J.D. degree from an accredited law school.
- Active bar membership in at least one U.S. jurisdiction.
- 3-7 years of experience in commercial contract law, preferably in-house at a SaaS or technology company or a law firm handling SaaS agreements.
- Experience supporting a significant volume of commercial transactions relevant to a technology company across various business functions in a fast-paced environment.
- Strong understanding of SaaS sales contracts, data privacy laws, and IP licensing.
- Ability to work in a fast-paced environment and manage multiple contract negotiations simultaneously.
- Excellent communication and negotiation skills, with the ability to balance legal risks with business objectives.
- Familiarity with contract management systems and legal technology tools is a plus.
- Strategic mindset, with the ability to think analytically, anticipate future trends, and develop innovative solutions to complex contract challenges.
- Commitment to integrity, ethics, and professionalism, with a passion for driving organizational excellence and delivering value to shareholders.
- Ability to deliver practical advice that appropriately balances business needs with risks.

In accordance with Colorado law, the range provided is Yes Energy's reasonable estimate of the base compensation for this role. The actual amount may be higher or lower based on non-discriminatory factors such as location, experience, knowledge, skills, and abilities.
