What You Can Expect
The Legal Counsel will be responsible for providing legal advice and support to the Zimmer Biomet sales organization, with an emphasis on customer contract drafting and negotiation.
How You'll Create Impact
Draft, review and negotiate the terms of various commercial agreements including, but not limited to, purchase and sale agreements, capital placements, services agreements, lease agreements, software licenses and rebates.
Drive contracting efficiency initiatives such as gap assessment, deployment of CLM and development of process improvements; coordinate with Legal Operations, IT and business partners regarding the same.
Review, update and file template and executed agreements on an ongoing basis.
Partner with colleagues to ensure agreements are consistent with stakeholder objectives, applicable legal requirements, and internal corporate policies.
Advise on business law issues, including contract interpretation and requirements.
Coordinate with colleagues both inside and outside Legal regarding processes governing the intake, review, and approval of contracts and other legal requests.
Provide pragmatic day-to-day and strategic advice to minimize legal risks while facilitating and advancing business goals and initiatives.
Instruct, manage and review all work product of external counsel in an efficient and cost-effective manner.
Carry out other duties, projects, or activities as specified by the Associate General Counsel.

Existing understanding of, or ability to quickly learn the company’s business and products, including capital sales and software solutions.
Demonstrated ability to address commercial, and business transactional matters, within the life sciences, medical device or related industries.
Commitment to developing professional relationships with clients in which corporate goals and priorities are maintained and practical solutions are offered without compromising legal integrity.
Demonstrated ability to work both independently and cooperatively with colleagues to leverage skills and knowledge within the legal division. Confident yet coachable and receptive to constructive feedback. Understands when to escalate issues to management for awareness or decision.
Exceptional verbal and written communication and presentation skills which highlight an ability to concisely and effectively reach a diverse audience at multiple levels within the Company and through various platforms (i.e., teleconferences, face-to-face meetings, presentations, reports and correspondence).

Education and Experience
Juris Doctorate (JD) or LLM from an American Bar Association accredited law school
Currently admitted in good standing to practice law in at least one state in the United States
A minimum of 3 years of experience providing legal advice on a broad range of business issues involving commercial contracts.
Prior in-house experience strongly preferred
Travel Expectations
Approximately 10-20%
Salary : $140,000 - $180,000
