This individual will lead the evaluation, execution, and integration hand off of mergers and acquisitions (M&A) and strategic investments. The ideal candidate will have a strong understanding of the medical device landscape, experience leading complex transactions, and a proven track record of creating value through inorganic initiatives. This position is responsible for helping to define and execute corporate development activities necessary for ZOLL to meet its near and long-term strategic imperatives, financial priorities and growth targets. Position reports to the VP of Corporate Development and Strategy.

Job Summary

Position reports to the VP of Corporate Development and Strategy.
Essential Functions
- Lead and coordinate all aspects of the M&A and investment transaction process, including process planning, due diligence, integration goals and process considerations, recommendation of and rationale for transaction terms arising from the diligence effort, risk mitigation and negotiation and finalization of relevant transaction related agreements.
- Responsible for the design and explanation of complex financial models and other analytical project work that will defend a critical analysis of the target, its risks, mitigations and future path.
- Lead large cross divisional and cross organizational teams to achieve stated project goals.
- Lead, mentor and develop junior Corporate Development team members, quarterback the team to achieve Corporate Development transaction processes and goals.
- Help to develop a pipeline of potential M&A and strategic investment opportunities that fit ZOLL’s near and long-term business strategies through utilization of both internal resources and external industry contacts.
- Responsible for target sourcing and identification efforts via a relevant and productive professional network and clinical and market research.
- Lead development of financial rationale for the acquisition or investment thesis that achieves strategic rationale and ZOLL corporate and divisional consensus.
- Ensure appropriate target selection/prioritization and terms of engagement that reflect diligence and ZOLL corporate priorities at all points of the transaction process.
- Responsible for venture portfolio management.
- Develop and assess scenario options for ZOLL participation and/or involvement in venture financings of new or existing portfolio companies including financial, market and business forecasts and valuation analyses. Incorporate strategic rationale and divisional and corporate priorities in order to make recommendations at key decision points.
- Author and deliver presentations which convey key information, including benefits and risks, for purposes of decision making on opportunities and initiatives.
- Review previously executed transactions to evaluate best practices and recommend improvements.
- Lead or support strategic evaluations and projects of the Corporate Development team.
- Bachelor's degree required MBA, CFA, or advanced degree preferred.
- 10 years M&A transaction experience, including minimum 2 years with end to end transaction and pipeline leadership.
- Proven ability to negotiate acquisitions and investments.
- Demonstrated knowledge of investment analysis, practices, valuation techniques, negotiation and risk mitigation strategies.
- Ability to create and apply advanced financial modeling techniques to drive decision making.
- Demonstrated communication skills, including well organized and persuasive corporate presentations and group facilitation abilities.
- Excellent critical and strategic thinking based on strong quantitative and qualitative analytic abilities and problem-solving skills.
- Must have strong interpersonal skills and ability to collaborate with personnel across all levels of the organization; able to lead with and without authority.
- Ability to organize, prioritize and execute multiple projects and deliverables, sometimes simultaneously to assigned deadlines.
- Ability to execute all responsibilities in an ethical manner without supervision.
- Ability to travel roughly 25% both U.S. and internationally.

Salary : $240,000 - $265,000
