While the model provides a high level of flexibility and autonomy, occasional circumstances requiring in-office attendance should be expected.Zurich North America has an outstanding opportunity for a talented attorney to serve as Corporate Counsel in the Corporate, Transactions and Governance Team within our prestigious Corporate Law department located out of our headquarters in Schaumburg, IL.The Senior Corporate Counsel will provide legal advice and support on all Corporate Governance matters including but not limited to : Monitoring new and developing corporate governance-related trends and best practicesRecommending modifications to and drafting corporate charters, bylaws, policies, procedures, and guidelinesPreparing corporate certificates and resolutionsProviding legal support to the Corporate Secretary, including the drafting, preparation, and review of Board of Director meeting materialsEnsuring compliance with all corporate governance policies and guidelines, recommending revisions to policies and processes as needed for compliance and continuous process improvementDrafting materials to advise directors and officers regarding necessary corporate approvalsUpdating and maintaining a corporate entity management database or other system with information on legal entities, entity officers and board of directors, and corporate records for such entitiesSupporting legal and business unit personnel, as needed (e.g., M&A and other transactional matters; due diligence; audits; litigation responses)This is a very fast-paced and hands-on position, requiring a high degree of self-motivation and ability to interface with various groups of business stakeholders and leaders.Must be able to work independently and have own areas of responsibility under general supervisionMust have solid analytical skills and ability to juggle multiple prioritiesMust be business-oriented, flexible, and open-mindedMust have excellent interpersonal skillsBasic Qualifications : Juris Doctor and 6 or more years of experience in the Legal areaMember of the BarKnowledge of NILS, Lexis, or WestLawPreferred Qualifications : Prior corporate governance experiencePC literate with working knowledge of Microsoft Office software and Lexis or WestlawInsurance industry experiencePrevious in-house experienceStrong organizational and analytical skillsFamiliarity with Office 365 suite of applicationsCompensation for roles at Zurich varies depending on a wide array of factors including but not limited to the specific office location, role, skill set, and level of experience. As required by local law, Zurich provides in good faith a reasonable range of compensation for roles.
