Our outstanding people are our most important asset and will allow us to deliver hydrogen from renewable electrolysis for heavy industry, at prices below fossil fuels.We are searching for an Assistant General Counsel to provide legal support to our commercial, procurement and deployment teams in Europe, Middle East and Africa (EMEA). You enjoy developing relationships and building trust across multiple business teams and you are an experienced legal and commercial adviser with well-honed drafting and negotiation skills. Ideally, you have experience working within the energy and industrial gas industry and can provide legal support and advice across a wide range of transactions, compliance requirements and risk scenarios.Your responsibilities will include drafting and negotiating equipment sales, equipment procurement, and long term service agreements, engaging with vendors and sales clients, and handling transactions from initial bidding through execution and fulfillment of agreements. You will also support a variety of other legal matters and projects, including corporate record-keeping, intellectual property, trade, data privacy, employment, power procurement, risk management, and regulatory compliance within EMEA.You will be based in [EU Country TBC], and will report to the Chief Legal Officer. Travel is required.Key ResponsibilitiesBe a trusted partner across the organization by providing strategic counseling and practical guidance in support of our business objectives, with judgment on balancing business opportunities against multiple risk scenarios.Assume responsibility for legal support of the company’s business and operations in the Europe, Middle East, and Africa.Partner with the supply chain / procurement team responsible for negotiating vendor contracts to procure materials, equipment, and indirect goods and services and to set up factory locations in EMEA.Partner with the sales team on negotiation of capacity reservation agreements, framework agreements, equipment supply agreements, field assembly agreements, and long-term service agreements.Partner with the deployment team on negotiation of EPC agreements, fulfillment documentation, contract compliance and interpretation of regulatory requirements.Guide initiatives to increase operational efficiency and streamline the deal process.Support ongoing legal ops initiatives, including maintenance of updated form files, development of playbooks, guides and training materials; implementation of solutions for tracking and storing critical documents; and legal budgeting applications.Collaborate with other business teams, including HR, finance, operations, and business development, to ensure legal compliance and risk management, as needed.Help develop, implement, and enhance corporate policies and processes for regulatory compliance.Support intellectual property processes and strategies in legal documents.Advise on trade compliance requirements.Key RequirementsLicensed attorney. Active status in at least one EU member country (ideally where the position is located)Minimum of 15 years of experience with a global law firm or in-house legal team, with relevant legal experience leading a variety of commercial transactionsStrong drafting and negotiation skillsFamiliarity with deal structures for buying and selling heavy equipmentEase and comfort working with on a high-volume of agreements, rapid cycles, multiple assignments, concurrent deadlines, and changing prioritiesA client-first mentality that fosters a strong sense of trust with internal clientsFunction as a generalist to support the Legal Department's mission and a willingness to jump in and assist the team, as neededExcellent written and verbal communication skillsAbility to travelLanguage(s) : English required.
