Foundation Software is looking for a highly qualified Legal Counsel to oversee the legal aspects of our business. You will safeguard our reputation by guaranteeing that the company strictly follows corporate and employee law guidelines and give legal advice to management about all relevant issues. The successful candidate will effectively ensure legal conformity and minimize probability of exposure.

Responsibilities

• Provide counsel and advice to cross-functional stakeholders and senior leaders to set the company's legal strategy on a broad range of matters related to new initiatives and products and other corporate, transactional, and regulatory matters.
• Oversee compliance with applicable laws and regulations and conduct legal research and analysis to stay current on changes that may impact the company and its subsidiaries.
• Prepares, reviews and advises on various legal instruments and documents, such as contracts, leases, licenses, purchases, sales, real estate, etc.
• Advise business leaders of proposed legislation that might affect the organization.
• Applies for copyrights or registration of the organization's products, processes, devices, and trademarks, advising whether to initiate or defend lawsuits.
• Advises officials on tax matters, government regulations, and/or legal rights.
• Partner with the HR team on global employment practices, employment handbook updates, compliance training, and new country expansions.
• Support mergers and acquisition activity and financial transactions
• Oversee the improvement of legal department processes to increase efficiency and mitigate legal risks.

Requirements and Skills

• JD from an accredited law school.
• Bar membership in good standing.
• 2-4 years of corporate legal experience, preferably at least two years at a law firm and prior in-house experience.
• Demonstrated ability to manage a range of legal matters.
• Excellent oral and written communication skills.
• Ability to translate complex legal concepts into actionable advice for the business.
• Willingness to go high and low when tackling projects.
• Saas software experience preferred
• Construction experience/knowledge a plus.
• Occasional travel
• Other duties as assigned
