Foundation Software is looking for a highly qualified Legal Counsel to oversee the legal aspects of our business. Responsibilities
- Provide counsel and advice to cross-functional stakeholders and senior leaders to set the company's legal strategy on a broad range of matters related to new initiatives and products and other corporate, transactional, and regulatory matters.
- Oversee compliance with applicable laws and regulations and conduct legal research and analysis to stay current on changes that may impact the company and its subsidiaries.
- Prepares, reviews and advises on various legal instruments and documents, such as contracts, leases, licenses, purchases, sales, real estate, etc.
- Advise business leaders of proposed legislation that might affect the organization.
- Applies for copyrights or registration of the organization's products, processes, devices, and trademarks, advising whether to initiate or defend lawsuits.
- Advises officials on tax matters, government regulations, and/or legal rights.
- Partner with the HR team on global employment practices, employment handbook updates, compliance training, and new country expansions.
- Support mergers and acquisition activity and financial transactions
- Oversee the improvement of legal department processes to increase efficiency and mitigate legal risks.
Requirements and Skills
- JD from an accredited law school.
- Bar membership in good standing.
- 2-4 years of corporate legal experience, preferably at least two years at a law firm and prior in-house experience.
- Demonstrated ability to manage a range of legal matters.
- Excellent oral and written communication skills.
- Ability to translate complex legal concepts into actionable advice for the business.
- Willingness to go high and low when tackling projects.
- Saas software experience preferred
- Construction experience/knowledge a plus.
- Occasional travel
- Other duties as assigned
