We are seeking an experienced lawyer, specializing in government contracting and federal procurement regulations, to join our team at GovSmart. The General Counsel is primarily responsible for overseeing all legal aspects of the business, ensuring compliance, and managing legal risks. This role involves close collaboration with various departments, offering legal expertise, and leading the legal team to support the company's strategic goals.
Responsibilities:
- Government Contracting Expertise:
- Contract Formation and Opportunity Analysis: Provide legal guidance on the creation and assessment of government contracts, ensuring compliance and alignment with business objectives.
- Contract Administration and Performance: Oversee contract execution and performance, ensuring adherence to legal and contractual obligations.
- Legal and Regulatory Compliance:
- Continuously monitor and stay informed of the latest legal and regulatory developments affecting government contracting and business operations, ensuring the company remains compliant and proactively addresses potential risks.
- Oversee the preparation, review, and submission of representations and certifications required for government proposal packages, ensuring accuracy and compliance with federal regulations.
- Employee Training:
- Develop and deliver training programs on contracts and other legal matters to ensure company-wide understanding and compliance.
- Legislative and Policy Initiatives:
- Collaborate with consultants and industry partners to advance legislative initiatives critical to the business.
- Proposal Reviews:
- Work closely with the Proposal Manager to review and provide legal input on business proposals.
- Legal Department Management:
- Manage and assign workloads within the legal department, ensuring efficiency and effectiveness in handling legal matters.
- Protests Management:
- Lead the management of contract protests, developing strategies to defend or challenge awards as necessary.
- Outside Counsel Management:
- Retain and supervise outside attorneys when specialized legal expertise is required.
- Corporate Governance and Secretary Duties:
- Serve as the Corporate Secretary, responsible for maintaining corporate records, ensuring compliance with corporate governance requirements, and providing legal support to the Board of Directors, including preparing meeting agendas, minutes, and resolutions.
Requirements:
- Juris Doctor (JD) degree from an accredited law school.
- Active membership in good standing with the bar in at least one U.S. jurisdiction
- Experience with government contracting and federal procurement regulations is required
- Ability to follow verbal and written instructions
- Excellent verbal and written communication
- Ability to manage time and efficiently organize work
- Strong attention to detail
Physical Requirements:
- Prolonged periods of sitting at a desk and working on a computer.
- Must be able to lift up to 15 pounds at times.
