- The Paralegal Specialist will be responsible for handling engineering and construction licensing issues, assisting with corporate secretarial matters and providing general administrative support to the Legal team for McDermott's CB&I(r) Storage Solutions (CB&I) business. This position is an individual contributor role requiring advanced knowledge in CB&I Storage Solutions markets, products, clients, and customers. The role directly reports to the Vice President, Legal.
ADMINISTRATIVE SUPPORT
- Provide legal support to CB&I's legal department including managing calendars, scheduling meetings, coordinating meeting rooms and meeting amenities, taking messages, receiving and sending mail/couriers, scheduling travel and submitting expenses
- Ensuring law firms and legal vendors are engaged according to company procedures, handling invoice questions / issues that arise and processing consultant invoices
- Conducting legal and factual research with respect to various legal matters, as requested, using Bloomberg Law, Practical Law and common search engines
- Manage the coordination and facilitation of various projects, in coordination with HR, Accounting, Finance, Tax, Treasury and Commercial departments, as assigned, including the scheduling and leading of project meetings, setting activity completion schedules and following up with key contributors.
- Provide weekly reports to those involved, analyzing metrics of task matter completions.
- Advise on corporate house-keeping matters such as delegations of authority and powers of attorney.
LICENSING
- Manage all construction and engineering licenses centrally in the Legal Department
- Prepare renewal documents, facilitating with the Accounting, Engineering, Operations and Commercial departments to provide required documentation to submit to state agencies
- Assist Qualifiers representing each license in obtaining the education and exam requirements necessary to qualify by researching state requirements and preparing a plan of action for each individual
- Work in coordination with the HR Department, analyzing weekly term reports to assess qualifying party replacements, as necessary
- Record date and upload all licenses and certificates into a licensing management platform, Harbor Compliance
- Prepare monthly reports and disseminate among team members
- Research and provide creative alternative solutions to meet minimum state license requirements
- Responsible for calendaring, tracking, and meeting all obligatory filing deadlines
- Preparing quarterly reports
SUPPORT ENTITY MANAGEMENT
Prepare documentation and initiate and coordinate requests for the establishment, change, revival and dissolution of legal entities located in the Central and South America region, including:
- Drafting of corporate documents - consents, minutes, powers of attorney
- Maintain log of documents for signature, verifies signature blocks, distributes and collects signatures
- Coordinate the timely filing of annual reports and registrations in all jurisdictions globally
- Cue Database Maintenance - updates entity information, uploads document, runs reports, assists with requests for director and officers or entity information
- Coordinate with Treasury in drafting and completing banking documentation
- File Entity Approval Forms and Lease Approval Forms for approval by Corporateo Assist HR with VISA requirements as related to director and officer appointments & resignations
- Responsible for calendaring, tracking, and meeting all obligatory filing deadlines
- Coordinate with outside counsel and obtain legal opinions where requiredo Onboard new law firms and corporate representatives to meet local directorship needs
- Bachelor's Degree and Paralegal Certification preferred
- 3-8 years industry experience or 2 y ears of legal experience is required with specific experience in construction licensing and entity management matters
- Proficient in English is necessary and Spanish is preferred
- Ability to manage heavy workload in a high-pressure environment
- Must exhibit strong analytical and problem-solving skills with reliable judgment
- Must possess exceptional written and oral communication skills
