Responsibilities

Manages all board and committee meeting logistics, attends and records minutes of all board and committee meetings, and facilitates board communications. Orchestrates, plans, and executes programs and sessions to facilitate the orientation of new Directors; assist in Director training and development. Maintains key corporate documents and records as required by DC nonprofit statute. Furnishes required key documents in support of the annual external audit process. Maintains communications and coordination with subsidiary and affiliate board governance staff and representatives of the executive team. Prepares written governance updates for the board and talking points for the Board Chair and committee leaders. Prepares background materials and serve as project manager for the board and committee evaluations process. Serves as the liaison for director search firms in service to the board’s director nomination and election process, including preparation of draft director skill matrixes for Board review. Provides leadership and guidance to OCS staff and to staff across the enterprise on all matters of concern to the AARP Board of Directors. Qualifications Bachelor's degree and 8 years of professional experience, including 5 years of specialized expertise supporting a Board of Directors in board governance and corporate secretary roles. Comprehensive knowledge of board governance principles and best practices. Proven ability to collaborate with senior staff, cross-functional teams, and board members to prepare reports and agendas for board and committee meetings. Skilled in creating and managing project plans while operating efficiently under tight deadlines. Adaptable and quick learner, with experience mastering new software, including Diligent, Policy Hub, Microsoft SharePoint, and other tools. Team-oriented professional with a flexible approach to addressing the organization’s highest priorities. Exceptional written and verbal communication skills. AARP will not sponsor an employment visa for this position at this time.
