The Vice President (VP), Assistant Corporate Secretary, plays a critical role in ensuring effective governance for the organization's Board and committees. Their responsibilities encompass a wide range of tasks, all focused on aligning the Board's work with the organization's goals. They meticulously review and maintain board and committee records, acting as the custodian of these crucial documents. Additionally, they collaborate closely with the Board and Executive team to identify and prioritize key discussion and voting topics. This collaboration is further solidified by drafting and reviewing agendas that clearly outline the topics to be addressed by the Board and committees.

 

Beyond agenda management, the VP, Assistant Corporate Secretary works alongside Executives to meticulously review all materials presented to the Board and its committees. This includes essential reports, both quarterly and ad hoc, that provide the Board with the necessary information to make informed decisions. They also draft official communications and ensure the timely distribution of meeting materials to all relevant stakeholders.

 

Staying informed is paramount in this role. The VP, Assistant Corporate Secretary actively monitors developments in board governance and regulatory requirements. They then share these insights with the Board and committees, ensuring they are well-equipped to navigate the ever-changing corporate landscape. Finally, they proactively implement procedures to ensure compliance with evolving governance policies and regulations.


Responsibilities

  • Manages all Board and committee meeting logistics, attends and records minutes of all Board and committee meetings, and facilitates Board communications.
  • Orchestrates, plans, and executes programs and sessions to facilitate the orientation of new Directors and provides Director training and development.
  • Maintains key corporate documents and records, as required by the DC non-profit statute. Furnishes required key documents in support of the annual external audit process.
  • Maintains communications and coordination with subsidiary and affiliate Board governance staff and representatives of the Executive Team.
  • Prepares written governance updates for the Board and talking points for the Board Chair and committee leaders.
  • Prepares background materials and oversees the Board and committee evaluations process.
  • Engages with Director Search Firms in service to the Board’s Director nomination and election process, including preparation of draft Director skill matrixes for Board review.
  • Provides leadership and guidance to the Office of the Corporate Secretary (OCS) staff, as well as to staff enterprise-wide on all matters of concern to the AARP Board of Directors.


Qualifications

  • Over 10 years of experience supporting a Board of Directors, specializing in board governance and corporate secretary work. In-depth knowledge of board governance principles and best practices.
  • Proven ability to collaborate with the CEO, executive team, and board members to prepare reports and agendas for board and committee meetings. Well-versed in board operations and legal requirements to ensure directors fulfill their fiduciary duties.
  • Exceptional written and verbal communication skills.
  • Bachelor's degree required.

Preferred:

  • Master's degree or Juris Doctor (JD) degree.
  • Legal experience with a focus on board governance.

Flexible Work Arrangement (FWA)

AARP observes Mondays and Fridays as telecommuting workdays, except for essential functions. Remote work and telecommuting can only be done within the United States and its territories.
