The In-House Counsel (IC) provides day-to-day leadership and oversight of legal functions, contracting, risk management, insurance portfolio, corporate transactions and governance, real estate, intellectual property, and labor and employment law issues. The IC negotiates, drafts, and reviews contracts and other legal documents, including merger, acquisition, and other corporate transaction documents, real estate leases, property and asset acquisitions, purchasing, joint ventures, managed care, physician services, licenses and other intellectual property agreements, academic affiliations, and financing and bond documentation. The IC provides counsel and support for the corporate compliance function, including antitrust, fraud and abuse, physician self-referral laws and anti-kickback, HIPAA, EMTALA, and other issues related to Medicare and Medicaid programs.The IC manages risk to the organization, its employees, customers, reputation, assets, and interests of stakeholders. The IC coordinates claims management and litigation in cooperation with CMC’s insurers and defense counsel. The IC provides counsel for legal aspects of patient care with significant medico-legal dimensions, including informed consent, medical records / privacy issues, and patients' rights issues. The IC provides consultation and advisory services in the areas of accreditation, medical staff governance, corporate governance, and board relations. The IC will have knowledge of health care systems and hospital legal issues and have demonstrated ability to interact, relate to, work with, and support the activities of a diverse workforce. The IC will develop and evolve policies, practices, programs, and procedures to support business goals by supporting compliant hospital operations. The IC will serve on and / or chair committees as needed based on subject matter. The IC contributes to the organization’s accreditation status by providing interpretation and advice regarding adherence to DNV standards, and appropriate corrective action planning and follow-through for non-conformities.The IC will be responsible for all legal aspects of the hospital and perform duties by adhering to the highest standards of ethical and moral conduct, acting in the best interest of CMC, and fully supporting the mission, vision, and values of CMC. The IC performs legal and factual research necessary to draft and analyze various contracts, policies, and other documents and to advise internal clients, and coordinates with outside counsel, as appropriate. Additional responsibilities will include serving as a resource that guides key leaders by deploying programs and processes that minimize legal risks. Interacts daily with hospital key management to provide legal advice on matters relating to hospital operations including risk management issues, employment issues, compliance issues, and hospital-medical staff relationship issues.Education : Juris Doctorate or equivalent law degree required.Experience : Minimum three (3) years of experience advising on a broad range of legal matters.Previous experience advising hospitals and other health care providers on a broad range of health law preferred.Licensure / Certification / Registration : Valid driver’s license in good standing required coupled with transportation that allows for travel around the region to various company facilities.License, registration, and certification as required by the state.Eligible to practice law within the state required.Duties & Responsibilities : Passionately believes in the core values of excellence, compassion, healing, teamwork, stewardship, innovation, integrity and is a champion of CMC core values and model for all.Ability to work effectively and collaboratively with leadership colleagues, physicians, department heads, and members of the executive leadership.Demonstrated proficiency with Microsoft Outlook, Word, Excel, Explorer and PowerPoint required with samples presented if requested during interview.Demonstrates the ability to interact with others in a way that gives them confidence in intentions and those of the organization.Demonstrates effective leadership skills which demonstrate the ability to participate in innovation and change, strategic thinking, and problem solving.Ability to use appropriate interpersonal styles and techniques to gain acceptance of ideas or plans; modifying own behavior to accommodate tasks, situations and individuals involved.Demonstrates leadership qualities and critical thinking through self-direction, initiative, and effective interpersonal skills and oral / written communication skills.Demonstrates ability to inform and persuade in writing and verbally (one-on-one and in group settings).Ability to work effectively in a fast-paced environment with demonstrates flexibility and adaptability in the workplace.Ability to work independently and with minimal supervision.Capable of leading teams / facilitating groups, building consensus, and garnering highest confidence in professionalism and work product by leadership.Ability to work under pressure and balance many competing priorities; highly responsive and solution / action oriented.Maintains a positive and supportive attitude and demeanor.Demonstrates ability to appropriately handle confidential, sensitive, and proprietary information.#J-18808-Ljbffr
