Adams & Martin Group has partnered with a distinguished law firm in Colorado to find an experienced Corporate Paralegal. This position offers an exciting opportunity to work within a dynamic team, providing comprehensive legal support for complex corporate transactions.
- Form Corporations and LLCs:
- Check name availability and reserve corporate names.
- Draft organizational documents including certificates of formation or incorporation, bylaws, and technology assignments.
- File certificates with State Secretary of States.
- Obtain tax ID numbers from IRS.
- Prepare FinCen BOI Reports.
- Corporate Client Maintenance:
- Draft shareholder, director, manager, and member actions and minutes; maintain minute books.
- Prepare documents and maintain records for stock issuance and employee stock option plans.
- Prepare and maintain capitalization tables and stock ledgers, including experience with Carta and other electronic cap table platforms.
- Complete and file foreign qualification documents and annual reports.
- Research Blue Sky issues and prepare required federal and state filings.
- Draft documents for dissolution and manage shareholder mailings.
- Assist with Transactions:
- Create and maintain datarooms; assist with disclosure schedules.
- Draft closing checklists, closing memoranda, and closing certificates.
- Research Blue Sky issues and prepare related memoranda and filings.
- Prepare materials for board and shareholder actions; assist with associated mailings.
- Prepare and make UCC filings and Form D documents; assist in obtaining EDGAR filer codes.
- Other Duties:
- Maintain form files and reference materials.
- Provide backup support for reception and perform secretarial duties.
- Train and provide mentoring assistance to receptionists, paralegals, and law clerks as needed.
- Perform other tasks as assigned by partners, supervising attorneys, or other administration personnel.
- Minimum of 3-5 years of corporate paralegal experience in a law firm setting, preferably at a national firm.
- Bachelor's degree from an accredited university or ABA paralegal certificate.
- Excellent technology skills and experience with virtual data rooms.
- Prior experience with SEC filings and EDGAR.
- Blue Sky research and filing experience preferred.
- Carta software experience is a plus.
- Must CURRENTLY reside in Colorado. Out-of-state candidates will not be considered.
The firm is offering a base salary of $90,000 - $120,000 commensurate with experience and comprehensive benefits package including:
