The Corporate Counsel will provide comprehensive legal support across our M&A and Corporate Development business functions, focusing on contract management , risk mitigation, corporate governance, and employment matters for target companies. Reporting to the General Counsel, This role involves collaboration with cross-functional teams to drive business objectives while ensuring compliance with applicable laws and regulations.
Key Responsibilities
Contract Management M&A and Corporate Governance
- Provides legal support and leadership for (i) corporate transactions including mergers, acquisitions, and divestitures, and (ii) post-closing financial transactions including reviewing and updating credit facilities, net working capital adjustments and tracking completion of post-closing actions, and supporting review of credit agreements as needed
- Coordinates with external counsel for legal due diligence and disclosures relating to corporate, strategic, and finance transactions
- Supports other corporate transactions including domestic and international subsidiary restructurings, capitalizations, cash repatriation and other financial transactions
- Works collaboratively and creatively with cross-functional corporate team and business units and provides broad spectrum legal support in identifying and mitigating risk issues relating to corporate, strategic, and finance transactions
- Reviews, analyzes and keeps current on domestic and international legal developments relevant to areas of responsibility, including data privacy and data transfer impacts
Cross-Functional Collaboration & Integration
- Collaborate with teams across HR, Accounting, Corporate Development, and Business Systems to complete transactions and on time and drive operational efficiencies
- Work closely with the integration team to ensure a smooth transition and integration of acquired entities
- Review and revise target company agreements to align with standard contract terms
Employment and Workforce Support
- Assist with reviewing target entities employment matters, including drafting agreements, and analyzing workforce transformation strategies
- Partner with HR to assess labor risks, design employment agreements, and support workforce transitions for target entity
Legal Risk Management and Compliance
- Assists with development, maintenance and administration of standard forms, policies and procedures relating to various corporate, strategic and transactional matters
- Identify and mitigate potential legal risks associated with M&A transactions including ensuring compliance with all relevant laws and regulations, including antitrust and securities laws
- Conduct legal research and provide analysis on relevant laws and regulations in multiple jurisdictions
- Manage Know Your Customer (KYC) packages and facilitate due diligence processes

Skills & Other Requirements:
- Juris Doctor (JD) degree and licensed to practice in Florida or ability to register as Authorized In-House Counsel with the Florida Bar
- Minimum of 3 years of experience as a practicing attorney, with a focus on mergers and acquisitions (M&A) or employment law
- Strong knowledge of contract law and corporate governance
- Exceptional organizational and multitasking abilities
- Excellent communication and interpersonal skills
- Ability to perform under pressure and meet deadlines
