About the Role
As a Senior Corporate Paralegal, you will play a pivotal role in supporting attorneys on complex corporate transactions, including mergers and acquisitions, private equity, capital markets, and corporate governance matters. You will manage key aspects of deal execution, maintain corporate records, and ensure regulatory compliance for both domestic and international clients. Your responsibilities will include :
Preparing, filing, and maintaining corporate documents (e.g., entity formations, amendments, and governance records).
Conducting and managing due diligence for transactions, including document review and preparation of summaries.
Coordinating all aspects of transaction closings, including preparing checklists, gathering documentation, and meeting deadlines.
Drafting and reviewing corporate documents such as board resolutions, consents, and shareholder agreements.
Managing regulatory filings (e.g., SEC, UCC, state-level filings) and ensuring compliance with legal requirements.
Supporting attorneys in board meetings, client meetings, and shareholder meetings.
Overseeing corporate records and entity management databases.
Supervising and mentoring junior paralegals and support staff as needed.
Conducting legal research on corporate law matters and offering insights to attorneys.
Collaborating with internal teams, including finance, tax, and compliance stakeholders.
About You
Our client is looking for an experienced and detail-oriented professional with a strong corporate law background. You bring expertise in corporate transactions and governance, a proactive mindset, and the ability to thrive in a high-pressure environment. You have :
A bachelors degree or equivalent work experience (paralegal certification preferred).
7-10 years of experience in a corporate legal setting, focusing on complex transactions and entity management.
Experience with top-tier law firms or corporate legal departments.
Expertise in corporate governance, transactional closings, and regulatory compliance (including SEC, UCC, and state filing requirements).
Proficiency with legal research tools, document management software, and Microsoft Office Suite.
Outstanding organizational, project management, and multitasking skills.
Strong attention to detail and a high degree of accuracy.
Excellent written and verbal communication skills.
The ability to work independently and collaboratively in a fast-paced environment.
