On behalf of our client, a leading company with a dynamic in-house legal department, we are seeking an experienced and detail-oriented Corporate & Real Estate Paralegal. This role is essential for providing comprehensive legal support in areas of corporate governance, real estate transactions, contract management, and regulatory compliance. The ideal candidate will be proactive, organized, and able to thrive in a fast-paced environment.
Key Responsibilities :
- Corporate Governance : Maintain corporate records, including drafting and filing corporate documents, resolutions, and meeting minutes. Support the preparation and coordination of board meetings and shareholder communications.
- Real Estate Transactions : Assist with real estate transactions by reviewing, drafting, and negotiating documents such as purchase agreements, leases, and closing documents. Coordinate and manage due diligence efforts, including title and survey reviews.
- Contract Management : Draft, review, and manage various contracts, including vendor agreements, NDAs, and other legal documents. Maintain the contract management system to ensure timely updates and renewals.
- Legal Research & Analysis : Conduct research on corporate and real estate law matters and provide concise summaries to aid the legal team’s decision-making.
- Compliance & Regulatory Support : Assist with monitoring and ensuring compliance with applicable state and federal regulations, including handling corporate filings and licensing requirements.
- Document Management : Organize and maintain both electronic and physical legal files, ensuring documents are easily accessible. Prepare closing binders and summaries as needed.
- Collaboration & Communication : Act as a liaison between the legal department and other departments within the company, as well as with external counsel, vendors, and regulatory bodies.
- Administrative Support : Provide general administrative assistance to the legal team, including scheduling, correspondence, and preparing reports.
