Atlantic Group is hiring an Assistant General Counsel for our client in New York, NY (Hybrid). This position is ideal for an attorney with investment management experience, specializing in fund governance, financial regulations, and securities compliance. In this role, you will oversee legal matters related to mutual funds, manage compliance with U.S. financial laws, and advise on contract negotiations, corporate policies, and risk management strategies.
Compensation: $180,000 – $220,000/year bonus
Location: New York, NY
Schedule: Monday to Friday (Hybrid)
Responsibilities as the Assistant General Counsel (Mutual Funds):
- Investment Fund Structuring & Compliance: Advise on the formation, structuring, and maintenance of U.S. registered investment vehicles, including registration statements.
- Regulatory Guidance: Provide legal counsel on the Investment Company Act of 1940 and evolving regulatory requirements.
- Internal Advisory & Collaboration: Partner with portfolio managers, marketing teams, and sales personnel to address legal and regulatory considerations.
- Board & Stakeholder Engagement: Prepare materials and advise boards of trustees/directors on governance, compliance, and legal matters.
- Contract Negotiation & Drafting: Develop and review investment management, distribution, servicing, NDA, and service provider agreements.
- Regulatory & Marketing Compliance: Manage regulatory relationships and oversee legal reviews of marketing materials, RFPs, and client communications.
- Education: Bachelor’s degree and Juris Doctor (JD) from an accredited institution required.
- Licensure: Active New York State Bar membership required.
- Experience: 4 years of legal experience in mutual funds, U.S. registered funds, and Investment Company Act compliance, gained at a leading U.S. law firm or in-house legal department.
- Industry Expertise: Proven experience advising boards, overseeing intermediary relationships, and ensuring compliance with U.S. securities regulations in investment management.
- Skills & Attributes: Strong communicator with senior leaders and regulators, excelling in problem-solving and sound judgment in complex legal matters.
