Roles And Responsibilities
- Corporate Governance:
- Advise on corporate governance matters, including compliance with corporate laws and regulations, board procedures, and governance best practices.
- Assist in drafting and reviewing corporate policies, resolutions, and board meeting materials.
- Commercial Contracts:
- Draft, review, and negotiate a variety of commercial contracts, including vendor agreements, service agreements, licensing agreements, and non-disclosure agreements.
- Provide guidance to business units on contract interpretation, risk assessment, and negotiation strategies.
- Mergers & Acquisitions (M&A):
- Support M&A transactions, including due diligence, drafting and reviewing transaction documents, and assisting with post-closing integration matters.
- Collaborate with external counsel and internal teams throughout the transaction lifecycle.
- Regulatory Compliance:
- Monitor and ensure compliance with applicable laws and regulations affecting the company's operations, including data privacy, anti-corruption, and industry-specific regulations.
- Develop and implement compliance policies and procedures.
- Litigation and Dispute Resolution:
- Manage and oversee litigation matters, including assessing litigation risks, engaging with external counsel, and representing the company in negotiations and court proceedings when necessary.
- Intellectual Property (IP):
- Manage IP matters, including trademarks, copyrights, and patents.
- Assist in developing and implementing IP protection strategies.
- Risk Management:
- Identify legal and business risks and develop strategies to mitigate them.
- Provide proactive advice on potential legal issues impacting the company's operations and strategic initiatives.
- Training and Education:
- Conduct legal training sessions for employees on relevant legal topics and developments.
- Juris Doctor (J.D.) degree from an accredited law school.
- Admission to the state bar association and in good standing.
- X years of experience practicing law, with a focus on corporate law, commercial transactions, and regulatory compliance.
- Experience in a corporate legal department or reputable law firm preferred.
- Strong knowledge of corporate governance principles, contract law, and regulatory requirements.
- Excellent drafting, negotiation, and analytical skills.
- Ability to prioritize tasks, manage multiple projects simultaneously, and work efficiently under pressure.
- Excellent communication and interpersonal skills, with the ability to collaborate effectively with internal and external stakeholders.
