What are the responsibilities and job description for the Deputy General Counsel position at Aurex Group?
We're partnering with a major player in the energy trading sector to find a Deputy General Counsel with deep expertise in gas and power markets. This is a strategic legal leadership role supporting trading, structured transactions, and regulatory compliance. Ideal for senior legal professionals with a strong foundation in commodity contracts and a proven track record advising on complex commercial matters.
Key Responsibilities:
- Draft, review, and negotiate commodity contracts (e.g., ISDA, NAESB, EEI, PPAs, EMAs).
- Support structured transactions, including hedging, project development, M&A, and financing.
- Advise on credit documentation (e.g., guarantees, LCs) and first lien ISDAs.
- Ensure compliance with FERC, CFTC/Dodd-Frank, FTC, ISO/RTO rules (including ERCOT/QSE).
- Partner with trading, compliance, risk, and credit teams to support commercial strategy.
- Oversee internal legal team and manage external counsel relationships.
- Develop and maintain legal templates, policies, and training programs.
- Contribute to global business integration and corporate initiatives.
- Lead legal support for REC, RGGI, transportation, and storage agreements.
Requirements:
- JD and active Texas Bar license.
- 10 – 15 years of legal experience in transactional and regulatory matters, with at least 5 years in a leadership role.
- Strong background in commodity trading (natural gas and power), credit support, and structured deals.
- Skilled in interpreting complex legal frameworks and delivering practical business advice.
Preferred:
- Power generation industry knowledge strongly preferred.
