This position is suited for an experienced professional who excels in guiding clients through complex business transactions, corporate governance, and strategic business decisions, bringing at least five years of relevant legal experience to the role.Duties Advise clients on business entity selection and formation, ensuring compliance and strategic alignment with client objectives.Draft and review corporate governance documents, including operating agreements, bylaws, and partnership agreements.Prepare, negotiate, and finalize buy-sell agreements tailored to client business continuity plans.Lead and manage various business transactions, including mergers, acquisitions, and restructurings.Collaborate with clients to provide counsel on complex legal and regulatory business matters.Maintain open and effective communication with clients, providing clear, strategic advice and written guidance on transactional matters.Requirements Minimum of 5 years of experience in business and corporate law.Proven expertise in handling business entity selection, corporate governance, and transactional work.Demonstrated experience with mergers, acquisitions, and buy-sell agreements.Strong decision-making skills with the ability to navigate complex legal scenarios confidently.Education Juris Doctor (JD) degree from an accredited law school.Active membership in the Minnesota State Bar.Certifications Licensed to practice law in Minnesota.Skills Excellent verbal and written communication abilities, with a focus on transactional documentation.Strong organizational and time-management skills, with the ability to handle multiple cases and deadlines.Attention to detail with a commitment to accuracy and professionalism in all work.Job Location Edina, MN#J-18808-Ljbffr
