The successful candidate will possess superior academic credentials, excellent writing skills, and the ability to manage multiple assignments independently.Duties and ResponsibilitiesDraft, negotiate, and review loan, security, intercreditor, and related documents for corporate finance transactions.Advise clients on covenant compliance and other legal aspects of financial agreements.Lead due diligence teams to ensure thorough examination and analysis of financial and legal documentation.Manage and coordinate with specialists, including financial analysts and paralegals, throughout transaction processes.Collaborate with clients, financial institutions, and other stakeholders to facilitate successful transaction closures.Ensure accuracy and compliance in all legal documentation and transaction-related activities.Oversee multiple projects and assignments simultaneously, delivering high-quality results with minimal supervision.Address and resolve complex legal issues related to commercial finance and real estate transactions.Requirements4-6 years of experience in corporate finance, with a focus on commercial finance transactions, including loan originations and real estate financings.Proven experience in drafting and negotiating loan, security, and intercreditor documents, and providing advice on covenant compliance.Strong academic credentials, including a JD from an accredited law school.Excellent writing skills with a keen eye for detail.Demonstrated ability to manage multiple assignments and projects independently.Advanced analytical and problem-solving skills.EducationJuris Doctor (JD) degree from an accredited law school.Bachelor’s degree in Finance, Accounting, or a related field preferred.CertificationsAdmission to the Colorado Bar (or eligibility to obtain admission).Additional certifications or specialization in finance or commercial transactions preferred but not required.SkillsIn-depth understanding of corporate finance, loan agreements, and related legal documentation.Expertise in drafting and negotiating complex legal documents.Strong leadership and team management abilities.Proficiency in legal research tools and financial software.Excellent communication, interpersonal, and organizational skills.Benefits OfferedProductivity and discretionary bonuses.Comprehensive life, health, accident, and disability insurance.401(k) plan with firm contributions.
