A law firm is seeking a driven and detail-oriented Junior Business Transactional Attorney to join its dynamic legal team. Key Responsibilities
- Handle a broad spectrum of sophisticated business and corporate transactions, ensuring legal compliance and risk mitigation.
- Draft, review, and negotiate a diverse array of legal agreements, including but not limited to:
- Ancillary documents for mergers and acquisitions
- Organizational governance documents (LLC operating agreements, partnership agreements, bylaws, etc.)
- Employment and independent contractor agreements
- Joint venture and licensing contracts
- Intellectual property development agreements
- Loan documents, promissory notes, and purchase and sale agreements
- Manage multiple projects concurrently while maintaining attention to detail and meeting critical deadlines.
- Work collaboratively with a team of legal professionals to deliver high-quality service to clients.
- Provide practical and strategic legal counsel to businesses, ensuring sound decision-making and compliance with corporate regulations.
- Exhibit strong legal drafting and analytical abilities to efficiently produce well-structured and persuasive legal documents.
- Contribute to a culture of innovation and efficiency, offering insights and solutions to enhance workflow and client outcomes.
Qualifications & Experience
- Experience: 1-6 years of relevant experience in corporate and transactional law, including handling complex business dealings.
- Education: Juris Doctor (J.D.) degree from an accredited law school.
- Bar Admission: Must be admitted to the Maryland Bar or willing to obtain admission through waiver.
