Duties :
Manage and execute mergers and acquisitions (M&A) transactions, ensuring efficient legal support throughout the process.
Draft and negotiate key transaction documents, including purchase agreements, disclosure schedules, and shareholder agreements.
Conduct due diligence, identifying and addressing key legal issues during the transaction process.
Provide legal guidance on M&A-related matters to clients, advising on risk management and strategic opportunities.
Collaborate with senior associates and partners on large, complex transactions.
Build and maintain strong client relationships, offering tailored legal advice to meet client needs.
Stay up-to-date with developments in M&A law and market trends, applying knowledge to client matters.
Requirements :
3-5 years of experience in M&A law, gained from a reputable corporate law firm.
Strong experience in drafting and negotiating transaction documents.
Excellent communication skills, with the ability to explain complex legal concepts to clients and colleagues.
Strong organizational and project management abilities.
Ability to manage multiple responsibilities in a fast-paced environment.
A team-oriented approach to work, with a high level of client service and professionalism.
Education :
J.D. from an accredited law school.
Certifications :
Active bar membership in the jurisdiction where the candidate will practice, or eligibility to sit for the next bar exam.
