A prominent law firm based in Chicago, IL, is seeking a highly accomplished Senior Associate with 5-7 years of experience in corporate transactional law. Duties:

• Handle private company mergers and acquisitions from planning to closing

• Draft and negotiate transaction documents, including purchase agreements and ancillary agreements

• Provide strategic advice on corporate governance, board matters, and compliance issues

• Draft, review, and negotiate various complex commercial contracts

• Structure and draft LLC operating agreements and shareholder agreements

• Offer ongoing guidance on general corporate issues, business structuring, and risk mitigation

• Assist with or lead private equity transactions and deal structuring, where applicable

• Manage or co-lead intricate M&A transactions involving multiple parties

• Advise on private securities offerings, particularly under Regulation D or comparable frameworks

• Collaborate closely with other team members and departments on cross-functional matters

Requirements:

• 5-7 years of relevant experience in corporate law with a focus on M&A and transactional work

• Demonstrated ability to manage complex deals independently or with minimal oversight

• Comfort advising clients on governance and strategic planning matters

• Proficiency in drafting high-level commercial agreements

• Understanding of private equity dynamics and private securities offerings

Education:

• Juris Doctor (J.D.) from an accredited law school

Certifications:

• Admission to the Illinois State Bar or eligibility for waiver/in-house counsel registration

Skills:
