Job Overview :
A well-established law firm is seeking a highly motivated Senior Associate or Counsel with 7 years of experience in Technology Transactions (IT) to join a dynamic national practice group. The ideal candidate will have a strong background in intellectual property (IP) and commercial transactions for technology companies. This role involves structuring, drafting, and negotiating various IP and commercial agreements , as well as advising on IP aspects of multidisciplinary transactions such as mergers acquisitions , and public offerings . This is an excellent opportunity for individuals passionate about working with technology companies at all stages of their growth.
Location : Duties :
Structure, draft, and negotiate a variety of intellectual property and commercial transactions including :
Licensing agreements
Service agreements
Development agreements
Distribution agreements
Partnering agreements
Work on IP aspects of mergers acquisitions public offerings , and financings
Advise technology companies of all stages of growth on IP and commercial transactions
Provide guidance to clients on multidisciplinary transactions
Collaborate with a national team and train junior associates
Help build and grow a dynamic national Technology Transactions practice group
Requirements :
7 years of experience in intellectual property and commercial transactions
Demonstrated interest in technology companies and IP transactions
Ability to train associates and work effectively as part of a national team
Strong communication, negotiation , and interpersonal skills
Entrepreneurial mindset with a focus on building and growing a national practice
Technical or science background preferred but not required
Experience with IP and commercial transactions is essential
Education :
Juris Doctor (JD) from an accredited law school
Certifications :
Admission to the State Bar in the jurisdiction of employment
Skills :
Strong experience with intellectual property transactions, particularly in technology companies
Excellent drafting negotiation , and communication skills
Ability to manage complex transactions and collaborate with a national team
Strong interpersonal skills for working with clients and associates
Interest in long-term career development in IP and commercial transactions
