POSITION SUMMARY: The U.S. headquarters of an ultra-high net worth family office based in The Woodlands, Texas seeks a corporate paralegal to assist General Counsel in managing multiple portfolio companies and indirect investments primarily involved in energy, oilfield services, technology, power generation and agricultural industries. Successful candidate will have 3 – 6 years of experience with recognized law firm or prior in-house experience. Position covers a wide range of legal disciplines and candidates must be willing to engage in a variety of areas to assist in servicing portfolio companies.

The position will be focused on assisting internal clients and the legal department with drafting, preparing, negotiating and reviewing documents such as: non-disclosure agreements, purchase orders, vendor contracts and agreements, customer contracts, corporate resolutions, corporate minutes, business entity formation and such other documents and tasks as may be required. The position will also involve provide administrative support and conduct legal research on a variety of issues.

ESSENTIAL FUNCTIONS: (The following duties and responsibilities are all essential job functions, as defined by the ADA, except for those that begin with the word "may.")
- Draft, review, and finalize a variety of legal documents including non-disclosure agreement and corporate governance documents.
- Manage and review business contracts, including:
- Prepare commercial contracts;
- Negotiate contract terms with internal and external business partners;
- Review and update existing contracts;
- Explain basic terms and conditions to managers and interested parties;
- Ensure that employees understand and comply with company contracts;
- Analyze potential risks involved with specific contract terms; and
- Maintain organized system of digital records.
- Organize and maintain documents, ensuring easy access and compliance with internal standards.
- Investigate and compile factual data from various sources such as public records, client databases, and external repositories to build strong cases.
- Analyze information and summarize findings for attorney review.
- Assist attorneys in managing ongoing litigation.
- Communicate effectively with external vendors and service providers to ensure compliance with procurement policies and manage external legal services.
- Coordinate cross-departmental collaboration and maintain clear communication between legal, procurement, and accounting teams.
- Perform other related duties as assigned to assist with successful operations and business continuity.
Qualifications
POSITION REQUIREMENTS:
- Successfully pass background check.
- Possess a valid U.S. Driver's License.
- Consistent and reliable attendance.

EDUCATION/EXPERIENCE LEVEL
- Bachelor’s degree.
- Experience as a paralegal with a law firm and/or corporate legal department with a focus on drafting and preparation of corporate and transactional legal documents.
- Experience with energy, oil and gas or oilfield service legal issues is a plus.

QUALIFICATIONS, SKILLS, COMPETENCIES, AND ABILITIES
- Ability to handle sensitive and confidential information with integrity and discretion.
- Proficiency in legal research tools and databases, such as LexisNexis or Westlaw.
- Strong working knowledge of Microsoft Office Suite (Word, Excel, PowerPoint), document management systems, and electronic discovery software.
- Ability to analyze complex legal issues, synthesize research findings, and communicate them effectively.
- Excellent attention to detail and ability to manage large volumes of information.
- Exceptional verbal and written communication skills, with the ability to present information clearly and professionally to attorneys, clients, and vendors.
- Strong interpersonal skills with the ability to build positive relationships across departments, including procurement, accounting, and operations.
- Excellent organizational skills, with the ability to prioritize tasks and manage time efficiently in a fast-paced environment.
- Experience coordinating with vendors and third-party service providers.
- High level of professionalism, integrity, and discretion in handling confidential matters.
- A proactive, self-motivated attitude with the ability to work independently with minimal supervision.

The Corporate Paralegal works indoors in an office setting, primarily sitting for extended periods of time at a desk station, keyboarding and using repetitive motions with wrists, hands, and or fingers. Vision abilities required by this job include close vision and the ability to adjust focus while reading and staring at computer monitor. They will also need to speak clearly and audibly, as well as have the ability to hear, understand, and distinguish speech and /or other sounds (e.g., building alarms) deriving from in-person speech, telephone, or other remote speech. No adverse environmental conditions are expected. While in the office, the Corporate Paralegal may be called upon to stand, kneel, push, pull, reach overhead, stoop, crouch, climb, and lift; therefore, the Corporate Paralegal should be able to lift 25 lbs. independently.

Work hours may include early morning, late evenings, and weekends, depending on job demands.
