Under the direction of the General Counsel, asCorporate Counsel, youwill assist across all legal matters for the firm’s global operations and transactions, including fund formation, capital raising, securities regulation compliance, fund investment matters, and general company legal matters , responsibilities may include :
- Provide primary legal coverage across the entire life cycle of dedicated funds, including drafting legal agreements and disclosure, reviewing marketing materials, responding to queries from national and international investor base, advising on a variety of routine and bespoke legal issues from deal and operational teams, and providing general oversight of various processes and deal flows in accordance with broader firm policy and objectives.
- Work closely with the board of directors, senior management, and business unit leaders to advise on general corporate matters, including private and public company governance and operations.
- Negotiate contracts, including corporate financings, nondisclosure agreements, side letters, and vendor contracts.
- Manage external counsel and work with, and supervise designated work of, department paralegals and assistants.
- Contribute to departmental planning, develop and implement best practices and process improvements inside the legal department and in coordination between business units.
- Assist on special projects and other responsibilities as assigned.
