Corporate Counsel
Duties & Responsibilities: Under minimal supervision and in accordance with Company's Contracting Management department:
Support business units, specifically our Contracting Management division, in the response to Requests for Proposals (RFPs), bids, etc.
Review, analyze, interpret contract language and provisions, communicate risks to management and prepare solutions and specific exceptions/alternate language as appropriate for management approval.
Review each incoming RFP to ensure the respective entity is properly licensed, or has a plan to achieve the necessary license, prior to beginning of work
Support and participate (as required) in contract negotiations in accordance with company guidelines.
Support and participate (as required) in the execution of all agreements and contracts.
Support and participate (as required) in review meetings and resolve any matters affecting contract administration and/or responses.
Support other risk management personnel, including insurance, surety, etc. (internal and external) as needed for effective contractual review and risk management practices.
- Manage and/or develop risk management standards, forms and processes to serve engineering, substation, transmission and distribution project needs.
- Support and participate (as required) in risk management training.
- Maintain and update as required, standard commercial contract templates for use as available for both performing work for clients and hiring of suppliers/subcontractors.
- Review, analyze, interpret supplier/subcontractor/vendor contract language and provisions, communicate risks to management and prepare solutions and specific exceptions/alternate language as appropriate for management approval to eliminate risk gaps between client contracts and supplier/subcontractor/vendor contracts.
- Maintain a data base of client and supplier/subcontractor/vendor contracts.
- Coordinate and communicate both client contract and supplier/subcontractor/vendor contracts history and information.
- Maintain electronic and hardcopy (as required) client and supplier/subcontractor/vendor contracts.
- Support and participate (as required) in contractual issues that may arise during project lifecycle.
- Manage compliance with internal contract and risk mitigation procedures and processes.
- Provide appropriate risk management input, guidance and recommendation for client and supplier/subcontractor/vendor contracts.
- Ensure all entities hold appropriate business and contractor-related licensure for the areas at which they work
- Ensure each entity license has a qualifier within the same entity and a designated secondary qualifier
Required Qualifications:
- Juris Doctorate from an accredited college or university
- 3 years of legal experience practicing within a firm or in-house
Excellent interpersonal skills with the ability to be effective working with various levels of employees, management, clients and suppliers/subcontractors/vendors.
Excellent organizational, planning skills and attention to details
Demonstrated experience in preparing, drafting, reviewing and negotiating complex commercial contracts
Demonstrated skills in verbal/written communications
Demonstrated negotiating and decision-making skills
High energy level with the ability to work in a fast paced, ambiguous environment
Excellent ability to understand, interpret, communicate and modify contractual language.
Proficient in the use of MS Office (specifically Word), Excel, PowerPoint, Nitro/Adobe, SharePoint and database tools
High commitment to achieving goals and plans
Desired Qualifications:
Demonstrated commercial contract and risk management skills and experience
Direct experience with contracts for engineering, substation, relay, transmission, or distribution projects and the related industry.
Experience in dealing with various state business and contractor licensure boards
