Our client, Climate United Fund, is seeking a passionate, creative, mission-driven domestic Energy Finance lawyer to join our team as Assistant General Counsel.


Job Description:

Climate United Fund, a 501(c)(3) nonprofit (“Climate United”), is seeking an experienced finance attorney with specialization in U.S. energy projects to join our dynamic legal team.

The role requires someone with strong technical expertise, exceptional judgment and attention to detail, and a passionate commitment to the mission and integrity of the organization. About Climate United:

Climate United will use funding from the EPA under the Inflation Reduction Act to rapidly deploy low- and zero-emission products, technologies, and services to all American communities in order to (1) reduce GHG emissions and other forms of air pollutants; (2) bring direct benefits to American communities in the form of energy security, energy savings, cleaner air, and quality jobs; and (3) transform the capital markets so they can drive an equitable clean energy transition at scale. Calvert Impact, Inc., a 501(c)(3) nonprofit (“Calvert Impact”), is sole member of Climate United. The successful candidate will be employed by Calvert Impact or one of its subsidiaries.


Key Responsibilities:

  • Draft, review and/or comment on loan documents, loan participation agreements, security agreements, PPAs, EPCs, Offtake Agreements, Interconnection Agreements, Purchase Agreements, intercreditor and subordination agreements, confidentiality agreements and other contracts.
  • Engage and assist on general corporate governance matters including maintaining and updating corporate records, planning and executing board meetings, developing and implementing internal compliance policies, advising on board decisions and developing materials to ensure good corporate governance, and advising on general ethics and compliance issues.
  • Engage and assist on government contracts compliance, internal compliance and procurement.
  • Develop and update internal legal form documents and policies.
  • Manage and oversee external legal counsel.


Required Qualifications:

  • JD from an accredited law school.
  • Active bar membership in one or more states.
  • 5 years of relevant legal experience (with significant law firm experience) in U.S. energy transactions (ideally in smaller scale clean energy projects in distributed power generation, building decarbonization and electric transportation) and general finance and banking transactions.
  • Strong attention to detail, organization and follow-through.
  • Self-starter with strong project management skills, capable of independently driving transactions and other initiatives from concept to completion while managing multiple priorities effectively.
  • Willingness to entertain new ideas and excitement in crafting creative solutions to novel problems.
  • Enjoy working in a semi-remote, team-oriented environment with exceptional communication and interpersonal skills.
  • Occasional domestic travel.


Preferred Qualifications:

  • A demonstrated commitment to addressing the climate crisis, accelerating the clean energy transition, and/or helping low-income and disadvantaged communities.
  • Experience working with or within federally funded programs (e.g., DOE’s Loan Program Office).

Salary : $175,000 - $190,000
