- Report to the CFO with dotted line Legal reporting to General Counsel for Legal matters.
- Serve as primary point of contact for the business teams in the evaluation, structuring, negotiation, and execution of all mergers, acquisitions, joint ventures, partnerships, divestitures, and complex commercial arrangements that advance CME Group's business interests.
- Provide advice across company business units on a broad array of corporate legal matters; develop structuring and negotiating strategies and manage the contracting, mergers and acquisitions and real estate legal functions.
- Manage a team of professionals to build and execute upon initiatives in service of the strategy of the product business lines.
- Demonstrate expert level competence in deal structuring, due diligence, key contractual terms, negotiation and closing of transactions. Will be responsible for directing the creation of strategic and financial analyses and decision support materials for C-level officers and Board.
- Act as the liaison with Finance to ensure effective collaboration and execution of strategic initiatives.
- Prioritize projects and balance workload among the various team members and build a collegial work environment where teamwork is highly valued.
- Collaborate with business units on deal structures, negotiate a variety of mergers, acquisitions, joint ventures, strategic partnerships and investments and complex commercial arrangements and manage deal process, execution and integration efforts.
- Lead the systematic identification of long-term customer, product, market, competitive trends, the translation of these into opportunities, challenges, strategies, innovations and initiatives and in some cases the execution of these innovations and initiatives.
- Demonstrate expert level professional competency in the evaluation of all M&A and strategic partnership opportunities. Produce decision support materials for C-level officers and Board. Demonstrate expert level competence in deal structuring, due diligence, negotiation, closing of transactions.
- Run deal processes and hand off to internal divisions when completion milestones are achieved.
- Develop and share fact-based recommendations to pursue or not pursue various alternatives.
- Manage workflow and delegate to a team of Corporate Development and Venture professionals, dotted to Legal.
- Balance workload so that all team members are given proper development opportunities.
- Create a collegial, work-hard, merit-based environment.
- Train or facilitate training of team members so that they can advance in their careers.
- Actively manage and mentor attorneys responsible for corporate matters (contracting, mergers & acquisitions and real estate) and ensure effective structure and functioning of the group.
- Coordinate corporate legal advice and support with outside legal advisors and service providers in conjunction with the Legal division.
- Manage investment banking and other external advisor relationships along with management.
- Partner with other senior leaders in Legal and Corporate Development to ensure the department successfully executes its strategy and delivers on the division(s) goals.
- Supervise preparation and filing of SEC filings and compliance with NASDAQ requirements.
- Lead ventures, inorganic development opportunities with the enterprise, including the sourcing of ideas and opportunities.
- Drive execution of innovations and identified long-term growth initiatives, up to and including building new businesses.
- Drive identification, development and execution of opportunities and cross-asset business strategies (including market, product, service and incentive design).
- Lead and collaborate on key strategic analyses.
- Provide regular and impactful communication to the CFO to deepen awareness of potential market changes and of initiatives.
- Provide strategic and critical thinking in identifying and addressing issues across product lines and trends that will have a major impact on the company's performance. Offer analysis and insight to executives and business line managers of the impact of these issues on portfolio of products and individual products.
- 15 years of experience in transaction structuring and negotiation.
- MBA or JD preferred.
- Strong leadership, financial acumen and communication skills are crucial for success in this role.
