Divisional General Counsel - Securities & Capital Markets
Comerica Bank has an open Divisional General Counsel position for an experienced and highly motivated attorney who will lead others and support lines of business and departments throughout the organization on matters involving securities law, corporate law and capital markets. This position advises senior Bank officers of the legal implications of proposed transactions, policies, courses of action and management decisions. It analyzes unique and highly complex legal issues in matters of significance to the Bank.
Responsibilities
- Provides and supervises others in providing legal support for capital markets activities.
- Supervises others in the preparation of securities filings, such as Section 16 filings, Form 10-K, Form 10-Q, Form 11-K, Form 8-K and Form S-8, as well as the proxy statement, annual shareholder meeting materials, and NYSE reports.
- Advises executive management on the legal requirements and implications of securities and capital markets matters.
- Provides counsel in connection with capital management, share repurchases, debt and equity issuances, and other finance-related matters.
- Assists in matters involving general corporate law and corporate governance.
- Supervises legal support for compensation and benefits, including executive and director compensation plans and benefit plans.
- Advises senior officers of the legal implications of proposed transactions, policies, courses of action and management decisions.
- Analyzes complex legal issues involved in transactions and other matters of significance to the bank.
- Prepares contracts and provides legal advice on general corporate law issues.
- Monitors proposed and new legislation in applicable areas to assess potential impact and apprises management of such legislation.
- Manages attorneys and outside counsel. Develops and mentors direct reports.
Qualifications
- Bachelor's degree and JD from ABA accredited law school
- A minimum of 10 years of securities and/or capital markets experience
- Attorney must be licensed to practice law in Texas and a member in good standing of the State Bar of Texas; or be admitted to practice and a member in good standing of another U.S. bar association and eligible for admission to the State Bar of Texas without examination.
