Corporate CounselAbout the roleThe Corporate Counsel will report to the company’s General Counsel and assist with mitigating business risks. This position will focus on contract management, training, and policy advice.What you'll be doingPartner with business leaders to deliver services that support company objectives and that are consistent with Winning Together valuesContract ManagementReview and negotiate all third-party contractsOversee review of contracts including confidentiality agreements, assignments, amendments, and letters of deliveryDraft, negotiate, and review all third-party contractual documents including but not limited to reseller agreements and equipment leasesAssist departmental managers with the creation of one-off agreements such as channel partners, evaluation agreements, warehousing agreementsAdvise managers of legal risk and business risks related to contractual relationshipsReview Statements of Work and Service Orders as neededEnsure responsiveness in accordance with company service level commitmentsDevelop and update contract templatesDevelop and recommend contract department's processes, working with Purchasing, IT, and Sales departments to implement controlsEnsure company compliance with contract termsGuide sales proposals through process and identify and mitigate risk issues in achievement of strategic business goalsWork with IT team on review and responding to data security agreements with customersProvide training on contract processesLitigationAssist Senior Counsel and General Counsel with lawsuits as neededResearch and draft memorandum on a variety of legal issuesAssist Senior Counsel and General Counsel with alternative dispute resolution mechanismsEmployer RelationsProvide support to the Human Resources Department as neededEducate HR Department on proper investigative proceduresEducate and train managers on legal issues including harassment & discrimination preventionReview and revise policies for change in laws as instructedEmbrace and support Computacenter’s mission and core valuesWhat you haveLegally eligible to work in the United States.JD requiredCurrent member in good standing of the state bar1-4 years of contracts experience in the technology industry1-5 years of experience as an attorney, including law firm experienceSpecific and technical knowledge of contract types, methods and procedures and basic principles of contract lawAbility to prioritize, multi-task, and work effectively both independently and as part of a teamExcellent interpersonal and organizational skillsMust be result-oriented with a high level of integrity and honestyMust be able to regularly exercise independent discretion and judgment within defined policiesWhat you can expectThere’s so much more to enjoy about being at Computacenter than just having a rewarding career.
