Job Title: Corporate Board Secretary
Location: Onsite - Alpharetta, GA
Key Responsibilities
Corporate Governance & Compliance:
- Ensure the company complies with relevant laws, regulations, and listing requirements.
- Maintain and update corporate policies in alignment with governance best practices.
- Organize and facilitate Board meetings, shareholder meetings, and other corporate governance activities.
- Prepare and distribute meeting agendas, minutes, and resolutions.
- Act as a key liaison between the Board of Directors, executives, and stakeholders.
- Lead or support the IPO process, including regulatory filings, prospectus preparation, and liaising with financial institutions, legal advisors, and regulatory bodies
- Ensure compliance with SEC (or relevant stock exchange) regulations post-listing
- Manage investor relations and disclosure requirements
- Oversee the preparation and submission of required corporate filings, including SEC reports, annual reports, and disclosures
- Maintains corporate records, contracts, and agreements.
- Develop and implement corporate risk management frameworks
- Ensure transparency in financial and operational reporting
- Serves as a key point of contact for investors, analysts, and regulatory bodies
- Drafts and reviews press releases, investor presentations, and disclosures.
- Bachelor's or Master's degree in Law, Business Administration, Finance, or related fields.
- 10 years of experience as a Company Secretary, Board Secretary, or in a senior corporate governance role
- Experience leading or participating in an IPO process is required.
- Strong knowledge of U.S. corporate governance laws, SEC regulations, and listing requirements
- Excellent communication, organizational, and stakeholder management skills
- Familiarity with financial and legal documentation
- Experience working in multinational or publicly listed companies is preferred
