Summary Of Position
The Senior Corporate Counsel requires a versatile attorney capable of addressing a variety of legal matters, including contracts, corporate governance, licensing, litigation, labor and employment, and compliance. As a Senior Corporate Counsel, you will be responsible for providing comprehensive legal support to the organization, ensuring compliance with applicable laws and regulations, managing legal risks, and supporting the company’s strategic objectives. Additional responsibilities to meet the evolving needs of the organization may be required.

Work Location:
This can be a hybrid role out of any Core States Group office or a remote role out of a state in which we have an office. This role will require less then 10% travel.

Responsibilities
- General Legal Support:
- Provide legal analysis and advice to executives and stakeholders on a broad range of legal issues.
- Collaborate with other departments to support business initiatives and ensure compliance with applicable laws and regulations.
- Assist in developing and implementing company policies and procedures.
- Contracts and Transactions:
- Negotiate, draft, and manage various contracts on behalf of the company.
- Advise on contract terms, legal risks, and liabilities associated with various transactions.
- Support strategic business initiatives.
- Compliance and Risk Management:
- Support compliance efforts, including monitoring and researching relevant legal and business developments that may impact the company.
- Review advertising and marketing materials to ensure legal compliance.
- Provide training on legal topics and company policies.
- Litigation and Dispute Resolution:
- Handle pre-litigation disputes and provide risk assessments to mitigate potential claims.
- Manage and oversee litigation matters, including working with outside counsel.
- Represent the company in appropriate forums.
- Corporate Governance and Licensing:
- Provide legal guidance on licensing and corporate structure matters, ensuring compliance with applicable laws and regulations.
- Assist with compliance reviews and provide legal expertise for state registrations and licenses to conduct business when required.
- Assist with statutory filings and renewals in cases where legal involvement is necessary.
- Other Responsibilities
- Perform other duties as assigned to support the legal department and the company’s strategic goals.
- Juris Doctor (JD) degree from an ABA-accredited law school.
- Admission to the State Bar for which you live.
- California, Pennsylvania, or Georgia bar preferred.
- 5 years of experience providing legal counsel within the architecture, engineering, and construction (AEC) industry is strongly preferred.
- Compliance and litigation experience are strongly preferred.

Salary : $175,000 - $185,000
