Summary:
Prominent and well-established AMLAW ranked law practice is seeking a highly skilled and driven Transactions (Corporate & Entertainment) Paralegal to join their Entertainment, Technology & Advertising practice groups in Los Angeles, CA (90067).
The Entertainment/Corporate Transactions Paralegal will file security documents, conduct due diligence, manage closing processes, and negotiate the signatory process with the guilds. Technical, organizational, and administrative skills are necessary to handle a variety of duties and responsibilities.
A prospective candidate should have experience with copyright searches and filings, obtaining charter documents and good standing certificates, preparing and filing UCC forms, and tracking liens, deadlines, and extensions. They should be skilled in drafting operating agreements, resolutions, and other corporate documents, as well as creating and maintaining checklists, minute books, and obtaining EINs for clients. Additionally, candidates should be proficient in financial closings, especially in film finance, by drafting initial security documents, maintaining checklists, occasionally leading closing calls, collecting signatures for closing documents, and creating electronic closing binders for all parties.
Experience filing Copyright Mortgages with the US Copyright Office and Deeds of Charge with Companies House (UK) is preferred. The position handles multiple projects, often in a fast-paced, high-pressure environment, requiring prioritization and flexibility. Collaboration with firm personnel at all levels is integral to the role.
Required Qualifications:
- A minimum of 4-7 years of Corporate/Entertainment Trans. Paralegal experience working in a law firm or supporting in-house counsel.
- Ability to self-manage projects and monitor discovery and filing deadlines to ensure completion and compliance of pending projects.
- Ability to handle multiple projects with changing priorities while working independently in a fast-paced environment.
- Experience with voluminous document requirements.
- Working knowledge US Copyright rules and procedures.
- Working knowledge of UCC filings and procedures.
- Ability to work overtime, evenings, and weekends, as needed.
- Possess excellent spelling, grammar, and punctuation skills.
- Experience with film or TV production, especially contracts, is desired.
Education:
Bachelor’s Degree (BA/BS) is preferred. Not considering JDs.
License and Certification:
An ABA-approved paralegal certification is REQUIRED.
Annual Salary/Compensation:
Salary is up to 150K (DOE/DOQ).
