Dentons Durham Jones Pinegar is seeking a full-time experienced corporate paralegal for our Salt Lake City, Utah office. Duties will include : drafting officer certificates, board and shareholder resolutions and side letters; conducting lien searches and preparing summaries; ordering and reviewing certificates of good standing and corporate charters; preparing UCC filings; drafting closing agendas and organizing closing documents; tracking and organizing signature pages; coordinating closing mechanics; preparing and delivering closing binders; and, making SEC and Blue Sky filings. Duties may also include : entity formation; ongoing corporate maintenance; drafting board minutes and maintaining minute books.
The ideal candidate possesses :
Minimum of three years corporate experience in either a law firm or comparable corporate environment
- Prior securities experience desirable
- Bachelor’s Degree and / or ABA accredited paralegal certificate
- Extensive working knowledge of Microsoft Office Suite and Adobe Acrobat
- Strong work ethic, solid interpersonal skills, professional demeanor and ability to self-start are required
