Capital Markets Attorney (3-4 Years')

Position Overview:
The firm is seeking a highly motivated associate with 3–4 years of experience in capital markets and emerging company matters. The ideal candidate will bring a combination of strong technical skills, practical judgment, and a client-first mindset. Key Responsibilities:

• Advise high-growth private companies and their investors on equity and debt financing transactions, including venture capital and growth equity deals

• Counsel emerging companies on corporate governance, securities law compliance, and general corporate matters

• Assist in mergers and acquisitions involving private and public companies, including due diligence, negotiation, and documentation

• Handle public company work, including IPO preparation and execution, periodic reporting, and compliance under U.S. securities laws

• Collaborate with cross-functional teams, including tax, IP, executive compensation, and regulatory specialists

• Serve as a key contact for clients, helping to manage deals and build relationships

Qualifications:

• 3–4 years of relevant experience in capital markets, private company financing, and M&A

• Experience with startup and emerging company representation is highly preferred

• Strong academic credentials from a top-tier law school

• Admitted to practice and in good standing in New York

• Excellent drafting, negotiation, and communication skills

• Ability to take initiative, manage multiple matters simultaneously, and work effectively in a fast-paced, team-oriented environment

Compensation:
The expected annual base salary for this position ranges from $260,000 to $310,000. Actual compensation may vary based on experience, seniority, and other factors.
