An Amlaw 100 firm is seeking a Corporate Paralegal with at least 5 years of experience to assist its Corporate and Transactional Practice, focusing on Mergers and Acquisitions in Chicago, IL
Responsibilities
- Transactional work, including creation and maintenance of Virtual Data Rooms, signature packets, closing checklists, closing binders
- Perform lien searches (Federal, State and County) and assist with other due diligence
- Prepare state and local filings (including financial and business)
- Draft corporate formation documents including preparation of Articles of Organization, Articles of Incorporation, Bylaws, Operating Agreements, Stock Certificates, IRS Forms, Foreign Registrations
- Research corporate entities and obtain documents on-line or via other means from various state agencies
- Research state and local statutes
- Assist with drafting and filing securities documents including Section 16, Form ADV, Form ID and Form D
- Prepare and file Form SS-4, Form 2553, Form 2848 and Form 8869 filings with IRS
- Knowledge of UCC processes including filing UCC financing statements and conducting UCC/lien searches and review as part of corporate transactions
- Assist attorneys with Corporate Transparency Act filings

- Ability to meet multiple deadlines and manage projects for several attorneys in multiple offices

- Flexible and able to adapt to changing priorities
- Proficient in Microsoft programs (Word, Outlook). Experience with Excel a plus
- Familiarity with virtual data rooms and corporate practice-related software tools like Intapp and iManage
Requirements
- Paralegal Certificate or related degree preferred
- Billing requirement: 1600 hours per year
- 5 years or more experience
Position Details:
- Hybrid 2days remote/3days in office after onboarding period
- Start Time: 8:30am or 9am
