Responsibilities
As a Fund Formation Associate, your primary focus will be on the formation of closed-end private investment funds, including venture capital, private equity, real estate, and hedge funds. You will also be involved in regulatory compliance for investment advisers to closed-end private investment funds. Key responsibilities include:

Advising institutional investors and fund managers on private investment funds and regulatory compliance matters

Drafting fund-related documentation such as partnership and operating agreements, private placement memorandums (PPMs), and subscription documents

Assisting with regulatory compliance, particularly with regard to the Investment Advisers Act

Collaborating with team members and clients to achieve effective and timely solutions

Staying up to date with developments in the investment funds industry and regulations
Qualifications
To be considered for this role, candidates should meet the following qualifications:

A JD or LLM from an ABA-accredited law school

Admission or eligibility for admission in New York or Massachusetts

At least four years of experience advising on private investment funds and regulatory compliance

Strong drafting experience, including with partnership agreements, PPMs, and subscription documents

Familiarity with regulatory issues related to the Investment Advisers Act and other relevant matters

Excellent written and oral communication skills

Ability to prioritize tasks, manage deadlines, and maintain a high level of organization

A professional approach to working with clients and colleagues in a collaborative team setting

Ability to work in-office approximately 60% of the time in accordance with the firm’s guidelines

Compensation & Benefits
