Corporate M&A and Global Corporate Restructuring Associate Attorney

Location : Chicago, IL, or Minneapolis, MN

About the Role

Direct Counsel is seeking a mid-senior level associate to join a well-respected firm’s Corporate practice in Chicago or Minneapolis. This position offers the opportunity to work with Fortune 500 global companies on complex cross-border transactions , including mergers and acquisitions, joint ventures, and global corporate restructurings .

Key Responsibilities

Advise on M&A transactions, joint ventures, and corporate restructurings across multiple jurisdictions
Draft and negotiate complex transactional documents
Collaborate with internal teams and international local counsel
Manage client relationships and provide strategic legal counsel
Ensure compliance with U.S. and international corporate laws

Qualifications

J.D. from a nationally ranked law school

4 years of experience practicing law at a national or international firm

Licensed to practice in Minnesota or Illinois

Strong drafting, negotiation, and research skills

Ability to manage complex transactions and multiple stakeholders

Preferred Experience

Experience with cross-border M&A transactions

Familiarity with global regulatory requirements

Prior work with international corporate structures

Compensation & Benefits

Salary range : $310,000 - $420,000 , depending on experience and market

Comprehensive benefits package , including medical, dental, vision, and 401(k)
