POSITION OVERVIEW


The Vice President of Compliance and Risk is responsible for the management, planning, development, support, and execution of legal, compliance, corporate governance, import/export regulatory compliance, risk management, quality, safety, and ethics programs for the North American Region. Additionally, the candidate will serve as a Compliance Officer in accordance with federal regulations. This position also oversees and manages Fracht’s security and business resilience programs. The Vice President of Compliance & Risk oversees and manages critical programs and processes, core to the mission and/or multiple departments/functions. It is expected that the VP of Compliance and Risk aligns compliance and risk strategies to corporate objectives that will contribute to long-term organizational goals.

DUTIES AND RESPONSIBILITIES

Legal, Compliance, Quality, Safety & Ethics:
  • Advise Executive leadership on applicable legal, regulatory and/or affiliate related compliance, governance, risk management, quality, safety, and ethics matters.
  • Advise Executive leadership on legal, governance, compliance, and risk mitigation.
  • Work collaboratively with Executive leadership towards optimum programs for regulatory compliance, risk management, quality, safety, and ethics matters.
  • As applicable, review and/or draft policies and procedures for updates. Train staff and implement updated policies.
  • Establish effective working relationships and credibility within the company to support a culture of compliance, risk management, quality, safety, and ethics.
  • As required, interface directly with various staff for compliance, legal, risk management, quality, safety, and ethics matters.
  • Manage compliance team.
  • Manage interdisciplinary staff for legal, compliance, governance, quality, risk.
  • Monitor organizational compliance with internal policies and external regulatory requirements.
  • As applicable, independently or in collaboration with applicable team members, investigate or supervise the investigation and/or resolution of legal, insurance, compliance, risk, quality, safety, and ethics matters.
  • Oversee education and training programs that focus on compliance and corporate governance, risk management, quality, safety, ethics, and/or regulatory standards. This can include draft and/or distribution of related policies, procedures, and other related materials as well as continuous training to ensure employees understanding and applicability of law/regulations. As applicable, independently or in collaboration with applicable team members, oversee the implementation of corrective actions and monitoring in response to identified issues and audits.
  • Manage/Implement policies and procedures that encourage staff and leadership to report suspected fraud, waste, and/or abuse, or any other potential noncompliance without fear of retaliation.
  • Ensure that all critical legal, compliance, risk management, quality, safety, and ethics matters are brought to the attention of the North American Executive team.
  • Prepare compliance reports identifying compliance issues and provide said quarterly reports to the Executive Team.
  • Work collaboratively with leadership to resolve identified legal, compliance, risk management, quality, safety, and ethics matters.
  • Implement applicable compliance plans, initiatives and systems towards optimum compliance, governance, risk mitigation, quality, safety, and ethics.
  • Communicate regularly with the Executive Team regarding compliance, governance, risk, quality, safety, and ethics matters.
  • At the direction of the Executive Team, review and advise on contractual matters and processes.
  • At the direction of the Executive Team, communicate actual or potential claims and/or lawsuits.
  • At the direction of the Executive Team and in collaboration with Fracht’s general counsel, oversee and manage external attorneys.
  • In conjunction with the legal/risk/compliance team review and manage insurance portfolio for optimum risk mitigation and risk management.
  • At the direction of the Executive Team, oversee external counsel processes.
  • Provide general compliance/legal/risk guidance to staff as appropriate.
  • Manage investigation and reporting processes for potential or actual compliance/legal/risk/quality/safety incidents.
  • Collaborate and coordinate with the appropriate team members for ongoing compliance auditing and monitoring programs involving staff, independent contractors, and other business associates.
  • Collaborate with leadership, key departments, and committees to ensure the implementation, maintenance, enforcement, and update of appropriate documentation as needed in compliance with federal laws, state laws and relevant standards.
  • Independently and/or in collaboration with other team members and/or leadership, Performs/Directs risk assessments, policies and procedures, trend analyses, audits, projects, and violation investigations towards optimum compliance with internal/external requirements and regulations.
  • Facilitates training through awareness activities providing education on organizational policies, procedures, and practices.
  • Serve as an internal resource/consultant to the organization on compliance related activities.
  • Maintain current knowledge of applicable federal laws and applicable standards.
Risk Management:
  • Coordinate with legal on the management of Insurance requirements/policies to include annual renewals, claims and coverages.
  • Identify risk areas and assist in developing auditing, monitoring and oversight processes related to identify risks.
  • Plans, organizes, integrates, and evaluates the work of the Risk committee to ensure identified risks are mitigated.
  • In conjunction with affiliate team members and leadership and in compliance with applicable federal and/or state regulations and, organizes, supervises and participates in the development and administration of a comprehensive risk management program, designs and implements risk management and mitigation measures and techniques, monitors the effectiveness of the techniques implemented; directs and oversees the development of new programs to improve workplace safety, quality and reduce exposures; directs the investigation of accidents and injuries and the evaluation of claims and settlements.
  • In conjunction with team members and leadership and in compliance with applicable federal and/or state regulations, organizes, supervises, and participates in the development and administration of Disaster Preparedness Program and emergency procedures.
  • Independently or in collaboration with other affiliate team members or leadership, oversees special and periodic inspections of sites and operations to identify potential or actual risks.
  • Works with the team to identify emerging Risks such as cybersecurity threats, ESG (Environmental, Social, and Governance) compliance, or geopolitical risks.

Insurance:

  • In conjunction with our risk/legal team, review and manage insurance portfolio for optimum risk mitigation, customer requirements, risk management, coverages, and costs.

Compliance/Risk Consulting:

  • As agreed, upon and approved by all parties, consult with other agencies on optimum compliance and risk management processes and standards.

EDUCATION AND/OR WORK EXPERIENCE REQUIRED

Minimum Work Experience:
  • Minimum 10 years work experience in most areas relevant to: corporate compliance, governance, regulatory compliance, risk, security, quality, and safety.
  • Five or more years’ experience at the Senior Management/VP level or equivalent role (e.g., officer, professional licensure roles)
  • Customs House Brokerage license preferred.
  • FMC/QHSE/Export Regulatory/Customs Brokerage experience preferred.

Supervisory Experience:
  • Demonstrated ability as an effective leader including coaching and team-building skills.
  • Strong written, verbal, and interpersonal skills.
  • Financial acumen and budgeting.
  • Excellent strategic planning skills.
  • Must be self-motivated and have the ability to work without direct supervision.

  • Experience in all phases of budget development and monitoring financial statements.
  • Experience with legal/claims billing processes and billing statements.
  • Experience with insurance pricing, coverage, and statements.

PHYSICAL REQUIREMENTS
