A top Los Angeles law firm is seeking a Corporate Associate with 3-4 years of experience to join its dynamic Corporate team. The ideal candidate will possess a strong understanding of federal securities laws, rules, and regulations, as well as a broad range of experience in corporate transactions, including private offerings of equity securities, mergers and acquisitions, and joint ventures.
Key Qualifications :
- 3-4 years of experience in corporate transactions, including private offerings, M&A, and general corporate matters
- Knowledge of federal securities laws and regulations
- Experience drafting LLC agreements, LP agreements, and related documentation
- Preferred but not required : Experience working with venture capital, growth equity, or private equity firms in fund formations and compliance with the Investment Company Act, Investment Advisers Act, and the Securities Act
- Strong analytical, written, and verbal communication skills
- Ability to work both independently and collaboratively as part of a team
- Major law firm experience preferred
- High level of academic achievement
- Admission to the State Bar of California
