Generally regarded internally as the “go-to” person on statutory records, director details and announcements and discretionary share plans, this person is pivotal in the successful running of our organisation. Working closely with the Deputy Company Secretary, this role will provide company secretarial support to the Board and the Group. Specifically responsible for the management of all employee share plans. What are the day-to-day tasks of this role? Find out below... Essential Job Functions Specifically responsible for management of UK and International employee share plans (Sharesave). Development of knowledge to be responsible for Discretionary Share PlansMeetings, minutes and agenda planning for and one or more board or management committees or bodies as may be directed by the Deputy Company Secretary or Company Secretary from time to time. Currently this would include acting as Secretary to the Global Benefits Committee and the Finance & Banking Committee Assist with share registration matters, routine shareholder correspondence and day to day shareholder contact. Manage s793 and s808 process. Manage logistics of the AGM Management of dividend process for planning and payment. Support on AGM arrangements including drafting AGM Notice, circular, proxy and voting instruction forms and liaison with registrar Responsibility for releasing announcements to the LSE and NYSE Assist with production of Annual Report, responsible for drafting specific sections as determined annually. Drafting Director and PDMR Biographies. Liaising with comms on website disclosures on reporting. Responsible for Annual Conflicts of Interest process. Maintenance of PLC Directors’ Interest Register. Responsible for PDMRs year-end disclosures. Acting as secretary of active UK subsidiary entities. Manage year end accounts sign offs and filing of active and dormant entities. Assist with tax reorganisations/strike-offs/liquidations Responsibility for end-to-end process for delegated authorities.
