What you’ll be doing…
Commercial Legal Counsel will specialize in tax and international tax matters. This role presents a great opportunity to learn about the key business segments and requires partnering with senior business leaders in sales, marketing, finance, and commercial law in providing tax advice and counsel related to the structuring and negotiation of agreements with customers and vendors. The individual will be a key member of a team that negotiates the tax aspects of contracts with large multinational enterprises for the provision of products and professional services in multiple jurisdictions. This individual will also negotiate with vendors on the tax aspects associated with the procurement of key products and services needed. These negotiations may be directly with the customers or vendors and their respective counsel. The structuring of these agreements is critical to minimize tax risk with respect to the allocation of taxes between the client and its counterpart and how the contract is structured amongst entities. These efforts are also critical in helping the businesses meet their forecasted revenue growth and other key quarterly metrics.
The responsibilities of this position include:
- Providing accurate, timely, business-oriented tax legal advice to all levels of company management regarding complex structuring of Business and Consumer domestic and international cross-border transactions with the ability to manage voluminous complex projects in a dynamic sales environment.
- Preparing, reviewing, drafting and negotiating a variety of contracts directly with both customers, vendors, and their legal counsel.
- Providing tax legal advice and counseling on commercial customer and vendor agreements, including federal and state government contracts matters, including interpretation and enforcement, compliance, and dispute resolution.
- Analyzing and reviewing voluminous solicitations and RFP customer terms and conditions on a regular basis.
- Providing corporate training, develop corporate policies and procedures, and recommend changes to billing systems to support and also facilitates efficient contract development, analysis and taxability decisions.
- Supporting when needed related to on-going Income and non-income tax controversy.
- Participating in federal, state and local and non-US tax planning projects or research.
- Participating in a team that works on select Acquisitions, Dispositions, Treasury and debt offerings, internal restructurings and legal entity rationalization projects.
- Supporting new product offerings by determining the non-income taxability of such offerings and the optimal way to structure
- Supporting transfer pricing and review of contemporaneous documentation.
- Supporting tax accounting and compliance initiatives as needed.
You’ll need to have:
- JD degree and six or more years of relevant work experience.
- Admission and good standing in at least one state (if not New Jersey, then eligibility for New Jersey In-House Counsel Limited Licensure).
- Experience in a large law firm and/or in-house dealing with tax matters.
- Knowledge of attorney-client privilege and work product.
Even better if you have one or more of the following:
- Masters in Tax or LL.M. in Taxation is a plus.
- Proven ability to prioritize multiple responsibilities and work in a fast-paced environment.
- Must be a team player with a strong ability to collaborate among multiple disciplines within the Tax Organization, while also independently exercising sound judgment.
- Outstanding writing, editing and oral communication skills, adaptive to and effective for different audiences.
- Excellent interpersonal skills and ability to build and maintain relationships within an organization.
- Strong tax research skills.
- Ability to work with and manage outside counsel.
- Possess a strong work ethic and desire to work through complex issues.
- Strong people leadership skills.

Candidate Must Have:
- Lawyer with commercial / contracts experience that understands tax law and has practiced law (not just been a tax manager) for at least 4 years with a minimum of 6 years relevant experience.
