The Legal Counsel will provide legal services, support and counsel on a range of corporate, transactional and regulatory matters to support GEM’s business. This role will closely assist and report to the Senior Counsel.

The Legal Counsel will provide legal services, support and counsel on a range of corporate, transactional and regulatory matters to support GEM’s business. This role will closely assist and report to the Senior Counsel.
Key Responsibilities
The position responsibilities include, but are not limited to, the following:
- Assisting with legal review and execution of private fund investments and related matters, including reviewing partnership agreements, consents, election forms, secondary transactions, non-disclosure agreements and restructuring agreements.
- Drafting, reviewing and negotiating corporate contracts, such as services agreements and vendor contracts.
- Supporting legal team process management and submission of deliverables.
- Assisting with and coordinating special projects, such as m anaging, tracking, and monitoring marketing and offering rules and laws in non-US jurisdictions .
- Performing research projects to support new and ongoing firm initiatives.

- JD from an accredited law school required; minimum of 5-6 years’ experience in corporate legal practice;
- Experience in investment management/private funds strongly preferred;
- Licensed to practice in North Carolina or eligible for licensure in North Carolina (or the ability to waive into North Carolina licensure);
- Experience drafting, reviewing and negotiating a broad range of legal agreements.
- Experience managing legal processes and timelines, tracking deliverables, and ensuring timely and accurate completion of legal matters in a fast-paced environment.
- Strong document processing capabilities and an ability to manage high volumes of workflow in an effective and accurate manner;
- Excellent attention to detail;
- Proven ability to communicate effectively and professionally both internally with non-legal personnel and with counterparties;
- Proactive, with an ability to work both independently and in collaboration with a team
