Key Responsibilities
- Provide comprehensive support for corporate securities matters, ensuring adherence to legal requirements and regulations.
- Assist with SEC and NYSE filings, including managing periodic reports such as Forms 10-K, 10-Q, and 8-K.
- Maintain the integrity of the company's insider trading compliance program and related policies.
- Supervise international securities filings regarding employee equity and ESPP purchases, ensuring local legal compliance.
- Collaborate with cross-functional teams on corporate legal initiatives and special projects.
- Facilitate capital market transactions, including due diligence and KYC requests.
- Liaise with transfer agents and address shareholder inquiries effectively.
- Aid in document production for SOX compliance and internal audits.
- Support governance and compliance processes, including record-keeping and preparation of board materials.
- Exceptional writing abilities and a solid background in legal research and public filing review.
- Familiarity with Section 16 and EDGAR filings is preferred.
- Meticulous attention to detail, strong organizational acumen, and capable of managing multiple priorities in a dynamic environment.
- Proficient in Microsoft Office Suite (Word, Excel, PowerPoint, Outlook, Teams).
- Positive, collaborative mindset with the ability to tackle complex issues independently.
- A minimum of 5 years of relevant experience with a Bachelor's Degree, or 2 years with an Advanced Degree (Master's, MBA, JD, MD) or a PhD.
- Prior experience as a corporate paralegal is highly desirable, particularly within a leading international law firm or large public company setting.
